Purchase and Sale of Goods. Subject to the terms and conditions of this Agreement, Supplier will produce, manufacture, process, qualify, sell, and deliver to Beyond Meat, and Beyond Meat will buy from Supplier, the [***] modified to Beyond Meat’s specifications (the “BM Pea Product” or “Goods”) identified in a purchase order issued by Beyond Meat (“Purchase Order”). The Goods must satisfy Beyond Meat requirements for production of its products, including size, flavor, texture, smell, and taste (the “Specifications”, set forth in Exhibit B). The Parties shall mutually agree on the Specifications, which may be amended from time-to-time by written agreement. Beyond Meat shall have no obligation to purchase any Goods that do not meet the Specifications. In case of nonconformance to the Specifications, or other order requirements set forth in any Purchase Order, Supplier will consult with Beyond Meat in a commercially reasonable manner to resolve the nonconformance before producing the Goods subject to the Purchase Order. In the event of a conflict between the terms of this Agreement and the terms of any Purchase Order, the terms of this Agreement will control.
Purchase and Sale of Goods. (a) The Purchaser shall issue a Purchase Order containing the Basic Purchase Order Terms to the Supplier in written form via e-mail. The Purchaser agrees to purchase sufficient volumes of Goods to meet the minimum purchase obligation for each Contract Period as set out in Schedule B (the "Minimum Purchase Obligation"). The Minimum Purchase Obligation is on a take-or-pay basis. If, during any Contract Period, the Purchaser fails to meet the Minimum Purchase Obligation for such Contract Period, the Purchaser shall pay the Supplier, within ninety (90) days after the end of such Contract Period, an amount equal to (a) the dollar value of the Minimum Purchase Obligation for such Contract Period; less (b) the dollar value of the actual purchases made by the Purchaser during such Contract Period.
Purchase and Sale of Goods. Subject to the terms and conditions of this Agreement, during the Term, Athenex shall purchase from Avalon, and Avalon shall manufacture or have manufactured and sell exclusively to Athenex, Athenex’s requirements of the Goods. Athenex and its Affiliates may only use, sell, offer, lease or otherwise dispose of the Goods for Licensed Services. Avalon may not sell the Goods to any Person other than Athenex for use within the Field or to perform Licensed Services within the Field.
Purchase and Sale of Goods. On and subject to the terms and conditions set forth in this Agreement, Seller agrees to sell and deliver to City and City agrees to purchase and accept from Seller the furniture and related ancillary services described herein and specified in Exhibit A, and Exhibit A-1,
Purchase and Sale of Goods. University agrees to purchase from Supplier, and Supplier agrees to sell to University, the items and quantities (“Goods”) according to the payment terms, schedule and other requirements stated in this Agreement and the Scope of Work attached as Exhibit A.
Purchase and Sale of Goods. Subject to the terms of this Agreement, Client shall purchase, and Vendor shall sell and deliver, the items set forth in Annex A (“Goods”), at the prices specified in Annex A. Specifications for the Goods are set forth in Annex B.
