Public Offering of the Firm Shares. As soon after the Registration Statement becomes effective as the Representative deem advisable, the Underwriters shall make a public offering of the Firm Shares (other than to residents of or in any jurisdiction in which qualification of the Firm Shares is required and has not become effective) at the price and upon the other terms set forth in the Prospectus. The Representative may from time to time increase or decrease the public offering price after distribution of the Firm Shares has been completed to such extent as the Representative, in its sole discretion, deems advisable. The Underwriters may enter into one or more agreements as the Underwriters, in each of their sole discretion, deem advisable with one or more broker-dealers who shall act as dealers in connection with such public offering.
