Provision of Details and Indemnity. The Contractor shall as soon as reasonably practicable and in any event within five (5) Business Days following a written request by the Authority provide to the Authority details of any measures which the Contractor or any Sub-Contractor envisages it or they will take in relation to any employees who are or who will be the subject of a Relevant Transfer, and if there are no measures, confirmation of that fact, and shall indemnify the Authority against all Direct Losses resulting from any failure by the Contractor to comply with this obligation.

The Replacement Service Provider shall immediately upon request by either Partner provide to that Partner details of any measures which the Replacement Service Provider envisages it will take in relation to any employees who are or who will be the subject of a Relevant Transfer and shall indemnify the Partners against all injury, claims, cost and expenses (including legal expenses) and/or damages resulting from any failure by the Replacement Service Provider to comply with this obligation. 3 In the event that TUPE or the Acquired Rights Directive applies on the termination of this Agreement such that the contracts of employment of the Transferring Employees engaged at the date, or any of them, shall be transferred from the Trust to the Replacement Services Provider to provide the Services or a relevant part of the Service the provisions of Schedule 6 paragraphs 5-14 below shall apply.

Provision of Details and Indemnity. 2.7.1 The Contractor will immediately upon request by the Employer provide to the Employer details of any measures (as referred to in Regulation 13 of TUPE) which the Contractor or any Subcontractor envisages it or they will take in relation to any employees who are or who will be the subject of a Relevant Transfer, and if there are no measures, confirmation of that fact, and will indemnify the Employer against all Direct Losses resulting from any failure by the Contractor to comply with this obligation.

The Contractor shall or shall procure that any of its sub-contractors of any tier to whom any of the Relevant Employees transfer under a Relevant Transfer, subject to its or their legal obligations relating to data protection and confidentiality, within 10 Business Days of a written request by the Authority provide to the Authority details of any measures which the Contractor or the sub-contractor envisages it or they will take in relation to any employees who are or who will be the subject of a Relevant Transfer and shall indemnify the Authority against all injury, claims, costs and expenses (including legal expenses) and/or damages resulting from any failure by the Contractor or the relevant sub-contractor to comply with this obligation.

The Concessionaire shall immediately upon request by the Council provide to the Council details of any measures which the Concessionaire or any Sub-Concessionaire envisages it or they will take in relation to any employees who are or who will be the subject of a Relevant Transfer, and if there are no measures, confirmation of that fact, and shall indemnify the Council for itself and the benefit of the Incumbent Concessionaire against all Direct Losses resulting from any failure by the Concessionaire to comply with this obligation.

The JVCo shall as soon as it is reasonably aware or upon request, provide to the Council details of any measures which the JVCo or any sub-contractor of the JVCo envisages it or they will take in relation to any Transferring Employees and shall indemnify the Council against all injury, claims, costs and expenses (including legal expenses) and/or damages resulting from any failure by the JVCo to comply with this obligation.
