Provision of Cloud Services. Subject to the terms and conditions of this Agreement and payment by Customer of all fees due for the Cloud Services, LogRhythm grants to Customer a non-exclusive, non- transferable (except as set forth in the Agreement) right to access and use the Cloud Services for internal business purposes in accordance with the Documentation and any limitations set forth in the Agreement or the Order. LogRhythm will make the Cloud Services available to Customer pursuant to this Addendum and any applicable Orders and provide Support Services for the Cloud Service to Customer during the Cloud Service Subscription term at no additional charge.

Provision of Cloud Services. 3.1 Forcepoint will use reasonable efforts to provide Cloud Services for the Subscription Term. The then-current Cloud Services service levels are incorporated by reference into this Agreement and may be found at: Cloud Services Service Level Agreement.
Provision of Cloud Services. Subject to (i) Intel’s acceptance of a valid purchase order, (ii) timely payment by You of any fees applicable to the Cloud Services, and (iii) Your compliance with the terms and conditions of this Agreement, Intel will use commercially reasonable efforts to provide You with the enablement of certain functionality of the Software through the use of Cloud Services. Intel hereby grants to You the right to access and use the Cloud Services via the Hosted Environment. Your use of the Cloud Services will comply with (i) this Agreement, (ii) Intel’s Acceptable Use Policy, as may be modified and updated from time to time, that is attached hereto as Exhibit A. (“AUP”), and (iii) Intel’s Privacy Notice that is located at . Intel retains the right to reject any request for Cloud Services by any individual or entity in its sole discretion. 3.
Provision of Cloud Services. 2.1 Supplier shall supply to UBS the Cloud Services (including any Updates and Upgrades) and a complete set of relevant Documentation in accordance with the terms of the Agreement.
Provision of Cloud Services. Vocera shall make the Subscription Cloud Services available to End User’s Users solely for use related to End User’s internal business purposes pursuant to this Agreement and the relevant accepted Purchase Orders during the applicable Subscription Term. Unless otherwise specified in the applicable Quote, Cloud Services are purchased based on the number of licensed or staffed hospital beds End User has at its Facilities (“Licensed Beds”) or stretchers for any affiliated Facilities. End User agrees to notify Vocera if the number of Licensed Beds increases during the Subscription Term. If the number of Licensed Beds increases during the Subscription Term, End User agrees to promptly submit a Purchase Order for additional subscriptions to be added during the applicable Subscription Term. Such additional subscriptions shall be at the same pricing as the pre-existing subscriptions thereunder, prorated for the remainder of the Subscription Term in effect at the time the additional subscriptions are added, and the added subscriptions shall terminate on the same date as the pre-existing Subscription Term.
Provision of Cloud Services. The Cloud Services will be solely provided by the Cloud Services Delivery Entity referred to in the Cloud Services Attachment and the Customer acknowledges and agrees to the appointment by the Supplier of such Cloud Services Delivery Entity for such purposes under this Agreement. The Cloud Services Delivery Entity will be the only entity of Supplier accessing Customer Data, if applicable, as further defined below.
Provision of Cloud Services. During the Subscription Term, DB Hackers will (a) make the Cloud Services available to Customer, in accordance with this Agreement and the applicable Order Forms, (b) provide Customer with DB Hackers standard support for the Cloud Services, (c) make the Cloud Services available pursuant to the standard DB Hackers Service Agreement, and (d) subject to Customer’s use of Cloud Services in accordance with this Agreement, provide the Cloud Services in accordance with our privacy policy (at xxxxx://xxxxxxxxx.xxx/privacy.pdf ) and government regulations applicable to DB Hackers’ provision of the Cloud Services generally, including, without limitation (i) prior to May 25, 2018, the Directive 95/46/EC of the European Parliament and of the Council on the protection of individuals with regard to the processing of personal data and on the free movement of such data; and (ii) on and after May 25, 2018, Regulation 2016/679 of the European Parliament and of the Council on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (the “General Data Protection Regulation” or “GDPR”). Provision of Cloud Services. Qualys will (a) make the Cloud Services available to Customer for the applicable Subscription Term, in accordance with this Agreement and the applicable Order Forms, (b) provide Customer with Qualys standard support for the Cloud Services as attached as Exhibit A, (c) make the Cloud Services available pursuant to the Qualys Service Agreement attached as Exhibit B, and (d) provide the Cloud Services in accordance with laws and government regulations applicable to Qualys’ provision of the Cloud Services generally, including, without limitation and if applicable, Regulation 2016/679 of the European Parliament and of the Council on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (the “General Data Protection Regulation” or “GDPR”).
Provision of Cloud Services. SERVICE CATALOGUE The Contractor acknowledges that Finance has created, or will create, and maintain a Service Catalogue which sets out the available Cloud Services. The Contractor is entitled to offer to supply Agencies their Cloud Services pursuant to this Head Agreement. The Service Catalogue may include the following information about each of the Cloud Services listed in the Service Catalogue: Cloud Service specifications; Service Levels and other performance measures; warranties and defect rectification requirements; warranty period; reporting requirements; and applicable Fees. The Contractor grants to Finance a licence to include information about its Cloud Services, including Fees, specifications, logos and any relevant material provided to Finance, in the Service Catalogue. Finance may as required: invite the Contractor (and other panellists on the Panel) to propose updates or additions to the Service Catalogue; conduct evaluation of any updates or additions to the Service Catalogue proposed by the Contractor (and other panellists on the Panel); and issue a revised Service Catalogue containing such updates (including deletion or addition of Cloud Services) as Finance determines, in its absolute discretion, to be appropriate. Upon receipt of an invitation from Finance pursuant to clause 6.3.1, the Contractor (and other panellists on the Panel) may: propose a price variation of any of the Fees included in the Service Catalogue; or propose an update or addition to the Cloud Services included in the Service Catalogue, or to the applicable specifications (subject to any restrictions included in the Service Catalogue in respect of maintaining the availability of Cloud Services for a particular period). If, pursuant to clause 6.4, Finance receives a proposal from the Contractor to decrease any of the Fees included in the Service Catalogue, Finance will amend the Service Catalogue accordingly. If, pursuant to clause 6.4, Finance receives a proposal from the Contractor to increase any of the Fees included in the Service Catalogue, it will assess that proposal and may: decline to amend the Service Catalogue; amend the Service Catalogue as requested; or remove the relevant Cloud Service(s) to which the Fees relate from the Service Catalogue. If, pursuant to clause 6.4, Finance receives a proposal from the Contractor to update or add to the Cloud Services or amend the specifications included in the Service Catalogue, it will assess that proposal and may: agree...
