Prototype. The construction documents previously developed by the Professional Consultant for a classroom addition of similar size, configuration, layout and construction type as the Project that will be reused and adapted to the Project per Florida Statutes Section 1013(4).

Prototype. 21.1 DIGIDEAL agrees to transfer a currently developed prototype unit of the Designated Product along with associated software and other key technical information needed for operation within thirty (30) days after the date of this Agreement. 21.2 The prototype shall be used for testing and as is otherwise appropriate to the project, but is not intended to be sold or placed for rentals.

Prototype. 13.4.1 The Operator shall, no later than the 90 (ninety) days from the Appointed Date, provide to the Authority 5 (five) copies of the Designs and Drawings of the Prototypes, as specified in Schedule-F. Provided that the Operator may, share only the details of the layout of the Prototype and not share any propriety information forming part of Designs and Drawings of the Prototype. 13.4.2 The Authority shall depute a team for undertaking a review of the Designs and Drawings and for submitting a report (the “Design Report”) to the Authority within 15 days from the date of receiving the Designs and Drawings. For the avoidance of doubt, it is agreed that the review and comments hereunder shall be limited to ensuring compliance with the terms of this Agreement. It is further agreed that any failure or omission of the Authority to review and/ or comment hereunder shall not be construed or deemed as acceptance of any such Designs and Drawings by the Authority. 13.4.3 The Authority shall depute a team for inspection of the Proto Vehicle at various stages i.e. chassis preparation i.e.stage-1, structure stage, paneling stage, painting stage and final stage, and in pursuance of the inspection the Operator shall carry out such modifications as suggested in the fabrication of Proto Vehicle. 13.4.4 Pursuant to the Design Report or otherwise, the Operator shall carry out such modifications in the designs as may be necessary for conforming to the Specifications and Standards. 13.4.5 The Authority expressly agrees that it shall, subject to the provisions of this Agreement and Applicable Laws, maintain the confidentiality of Designs and Drawings provided to it by the Operator and shall endeavor to protect the Intellectual Property rights of the Operator, if any, therein.

Prototype. [***], Supplier will build, assemble, test and deliver to Eargo an initial prototype of the Product in accordance with the then-current applicable Specifications, SOW, and BOM (each a “Prototype”). Supplier will demonstrate to Eargo that the Prototype is in Compliance, which if requested will include testing the Prototype in accordance with the procedures set out in Section 4.3 below. Eargo does not guarantee that Supplier’s manufacture of a Prototype will result in the manufacturing of a First Article, or in Orders for any Products. Eargo reserves the right to engage other manufacturers to build and manufacture Products based on the Prototype. For the avoidance of doubt, Supplier will not manufacture any Products based on any Prototype, unless such Prototype has also been designated as an Approved First Article by Eargo in accordance with the procedures set out in the following provisions of this Section 4.

Prototype. The Prototype screens provide a visual representation of the specific input screens that will be developed by IMS to support the BOP business for Customer. This approach does not allow for functional changes to the screens. Customer will provide IMS with reasonable input regarding the "look and feel" of the screens being developed. This input may include items such as the addition of "drop down" boxes or cosmetic enhancements to the color scheme.

Prototype. 13.4.1 The Operator shall, within 30 (thirty) days from the date of signing of this agreement, provide to the Authority (or any nominee appointed by it for this purpose) 5 (five) copies of the Designs and Drawings (along with soft copies) of a sample Bus that conforms to the Specifications and Standards (the “Prototype”), as specified in Schedule-F. Provided that the Operator may, share only the details of the layout of the Prototype and not share any propriety information forming part of Designs and Drawings of the Prototype. 13.4.2 The Authority, or any independent third party agency appointed by the Authority for this purpose, shall depute a team of experts for undertaking a review of the Designs and Drawings to ensure compliance with the requirements of this Agreement. Based on the review, the Authority (or its nominee) shall prepare and submit a report (the “Design Report”) highlighting therein, amongst other aspects, any specific non-compliances in the Designs and Drawings with the requirements of this Agreement. The Authority (or its nominee) shall submit a copy of the Design Report to the Operator within 15 (fifteen) days from the date of receiving the Designs and Drawings of the Prototype from the Operator. It is agreed that any failure or omission of the Authority, or its nominee, to review and/ or comment on the Designs and Drawings or to highlight any deficiency therein shall not be construed or deemed as acceptance of any such Designs and Drawings by the Authority, or its nominee (if any) and, notwithstanding anything to the contrary, the Operator acknowledges and agrees that it is the sole responsibility of the Operator to ensure that the Designs and Drawings are fully in compliance with the requirements of this Agreement. Authority & Operator may conduct consultations with relevant stakeholders interalia, passengers representing PwDs, elderly, women, youth and their views /inputs may be addressed in the Design Report. 13.4.3 Pursuant to the Design Report or otherwise, the Operator shall carry out such modifications in the Designs and Drawings as may be necessary in order for the Prototype to conform to the requirements of this Agreement, including without limitation, the Specifications and Standards.
