Common use of Protection and Registration of Intellectual Property Rights Clause in Contracts

Protection and Registration of Intellectual Property Rights. Borrower shall, and shall cause each of its Subsidiaries to: (a) protect, defend and maintain the validity and enforceability of its Intellectual Property; (b) promptly advise Bank in writing of material infringements of its Intellectual Property; and (c) not allow any Intellectual Property material to Borrower's or any Guarantor's business to be abandoned, forfeited or dedicated to the public without Bank's written consent.

Borrower shall, and shall cause each of its Subsidiaries to: (a) protect, defend and maintain the validity and enforceability of its Intellectual Propertyintellectual property material to Borrower’s business; (b) promptly advise Bank Lender in writing of material infringements of its Intellectual Propertyintellectual property material to Borrower’s business; and (c) not allow any Intellectual Property intellectual property material to Borrower's or any Guarantor's ’s business to be abandoned, forfeited or dedicated to the public without Bank's Lender’s written consent.

(a) Borrower shall, and shall cause each of its Subsidiaries to: (a1) protect, defend and pay all fees and make all routine filings with the U.S. Patent and Trademark Office and/or U.S. Copyright Office (as applicable) to maintain the validity and enforceability of any and all of its Intellectual Property; (b2) promptly advise Bank Initial Lender in writing of material known infringements of its Intellectual Property; and (c3) not allow any Intellectual Property material to Borrower's or any Guarantor's business to be abandoned, forfeited or dedicated to the public without Bank's Initial Lender’s written consent.

Borrower Borrowers shall, and shall cause each of its Subsidiaries to: (a) subject to Section 6.10(c), protect, defend and maintain the validity and enforceability of its Intellectual Property; (b) promptly after receipt of knowledge thereof, advise Bank in writing of material infringements of its Intellectual PropertyProperty that is material to its business; and (c) not allow any Intellectual Property material to a Borrower's or any Guarantor's ’s business to be abandoned, forfeited or dedicated to the public without Bank's ’s written consent.. Following the occurrence of the IP Trigger:

Borrower Borrowers shall, and shall cause each of its Subsidiaries to: (a) subject to Section 6.10(c), protect, defend and maintain the validity and enforceability of its Intellectual Property; (b) promptly after receipt of knowledge thereof, advise Bank in writing of material infringements of its Intellectual PropertyProperty that is material to its business; and (c) not allow any Intellectual Property material to a Borrower's or any Guarantor's ’s business to be abandoned, forfeited or dedicated to the public without Bank's ’s written consent.

Borrower shall, and shall cause each of its Subsidiaries to: (a) Each Co-Borrower shall use commercially reasonable efforts (i) protect, defend and maintain the validity and enforceability of its Intellectual PropertyProperty with any material value; (bii) promptly advise Bank in writing of material infringements or any other event that could reasonably be expected to materially and adversely affect the value of its Intellectual PropertyProperty with any material value; and (ciii) not allow any Intellectual Property material to a Co-Borrower's or any Guarantor's ’s business to be abandoned, forfeited or dedicated to the public without Bank's ’s written consent.
