Protection and Maintenance. After the Project Acceptance Date, the Contractor shall be relieved of maintaining and protecting the work except that this does not hold true for those portions of the work which have not been accepted, including Punchlist deficiencies. The Department shall be responsible for the protection and maintenance of the accepted facility.
Protection and Maintenance. At the request of the Company, Employee will at any time do all things reasonably required in order to protect and maintain Company’s rights in Intellectual Property including executing all proper papers for use in applying for, obtaining and maintaining United States and foreign patents and/or copyrights relating to Intellectual Property as the Company may desire, but at the sole expense of the Company or its affiliate.

Otsuka shall file, prosecute, register and maintain the Collaboration Product Marks in the Otsuka Territory at its own expense, Acucela shall file, prosecute, register and maintain the Collaboration Product Marks in the Acucela Territory at its own expense, and Otsuka shall file, prosecute, register and maintain the Collaboration Product Marks in the Shared Territory with the out-of-pocket expenses shared equally by the Parties (which be treated as Trademark Expenses, if applicable).

Except as would not -------------------------- reasonably be expected to have a Company Material Adverse Effect, (A) the Company has not taken any action or failed to take any action (including the manner in which it has conducted its business, or used or enforced, or failed to use or enforce, any of the Company IP) that would result in the abandonment, cancellation, forfeiture, relinquishment, invalidation or unenforceability of any of the Company Patents, Company Registered Copyrights, Company Marks or Company Trade Secrets (including, with respect to the Company Patents, failing to disclose any known material prior art in connection with the prosecution of patent applications, and with respect to the Company Registered Copyrights, failing to disclose required information to the United States Copyright Office), (B) the Company has taken reasonable steps (based on standard industry practices) to protect and maintain its rights in and to the Company IP, (C) all registered Company Marks and all Company Registered Copyrights have been registered, and all Company Patents have been filed and obtained, in accordance with all applicable legal requirements and are currently in effect and in compliance with all applicable legal requirements (including, in the case of registered Company Marks, the timely post-registration filing of affidavits of use and incontestability and renewal applications), and without limiting the generality of any of the foregoing, the Company has timely paid all filing, examination, issuance, post registration and maintenance fees, annuities and the like associated with or required with respect to any of the Owned IP.

After the issuance of the Certificate of Completion, Owner shall perform all tasks necessary to maintain and protect plantings and the Forest Retention Area for the duration of this Agreement in accordance with COMAR Title 8, Subtitle 19, the Ordinance, the Plan, the Manual and the terms of this Agreement. The protection and maintenance hereunder shall be as delineated in the Plan and the Manual and include, but are not limited to: properly preparing the site for the planting; planting species or approved cultivars native to the physiographic region of the State and compatible with the existing site; watering, fertilizing, mulching, thinning, replacement of damaged or dead plant materials, controlling competing vegetation, and protecting plants from disease, pests and mechanical injury during the initial planting and throughout the two year maintenance period as necessary; and providing protective devices such as fencing, retainer walls and interpretive signs as necessary to prevent the destruction or degradation of the planting site.
