Proration of Real and Personal Property Taxes. The real and personal property Taxes and assessments on the Purchased Assets for any taxable period commencing prior to the day immediately preceding the Closing Date (the "Adjustment Date") and ending after the Adjustment Date shall be prorated between Purchaser and Seller as of the close of business on the Adjustment Date. All such prorations shall be allocated so that items relating to time periods ending on the Adjustment Date shall be allocated to Republic based upon the number of days in the period prior to the Closing Date and items related to time periods beginning after the Adjustment Date shall be allocated to Purchaser based on the number of days in the period from and after the Closing Date; provided, however, that the parties shall allocate any real property Tax subject to the limitation set forth in Section 3.1(a)(vi). The amount of all such prorations shall be settled and paid on the Closing Date; provided, however, that final payments with respect to prorations that are not able to be calculated on the Closing Date shall be calculated and paid as soon as practicable thereafter.

Proration of Real and Personal Property Taxes. All real property and personal property Taxes and assessments with respect to the Assets for any taxable period beginning before the Closing Date and ending after the Closing Date (a "Straddle Period") shall be prorated on a daily basis at Closing between Sellers and Buyer. Sellers shall be responsible for any such Taxes attributable to the portion of the Straddle Period ending on the Closing Date and Buyer shall be responsible for any such Taxes attributable to the portion of the Straddle Period beginning after the Closing Date, with the apportionment being made in each case based on the number of days in the applicable portion of the Straddle Period. If such Taxes for the Straddle Period in which the Closing occurs have not been finally determined on the Closing Date, then such Taxes shall be prorated at Closing on an estimated basis using the most current information available and an appropriate payment shall be made at Closing by Sellers to Buyer or by Buyer to Sellers, as the case may be. When such Taxes have been finally determined, the parties shall recalculate such prorations and an appropriate payment shall be made by Sellers to Buyer or by Buyer to Sellers, as the case may be, within 15 days after such Taxes are finally determined. Sellers' prorated amount under this Section 11.7 shall be funded by the Revised Budget, to the extent provided therein, and Buyer shall be responsible for payment of the balance of Sellers' prorated amount, if any.
