Common use of Proprietary and Confidential Clause in Contracts

Proprietary and Confidential. All materials, software and tools which are developed or were originally acquired by Contractor outside the scope of this Contract, which Contractor desires to use hereunder, and which Contractor considers to be proprietary or confidential, must be specifically identified by Contractor to County Project Director as proprietary or confidential, and be plainly and prominently marked by Contractor as “PROPRIETARY” or “CONFIDENTIAL”, if applicable. Notwithstanding any other provision of this Contract, the County will not be obligated in any way under this Contract for:
