Property Permits. Applications for building permits to make Alterations shall be filed and processed by the Altering Owner without the joinder ofthe other Owners in such applica- tion, unless the Village or other government agency havingjurisdiction requires joinder ofthe other Owners. An Altering Owner shall send copies of any building permits to another Owner at such other Owner's request. Ifjoinder by the other Owners not making Alterations is so required, such Owners shall cooperate (at the expense ofthe Altering Owner) in executing such application, permit or other instruments as may be necessary to obtain the building permit; provided, however, the Altering Owner shall indemnify and hold harmless the other Owners from and against any and all loss, claims,judgments, costs and expenses arising out of the other Owners' execution of the application, permit or other instrument. Ifan Owner fails to execute such application, permit or instruments when required to do so, the Altering Owner is hereby irrevocably appointed attorney-in-fact of such other Owner (such power of attorney being coupled with an interest) to execute such application, permit or instruments on behalf ofsuch other Owner. ;
Property Permits. During the term of the Agreement, ACT, or an appropriate affiliate or designee, shall maintain all necessary permits and authorizations to own and manage the Property in the manner in which it is currently operated to the full extent necessary to allow for the continuing performance of ACT's obligations under the Transportation Contract.
Property Permits. (a) With respect to the Real Property: (i) a Group Company has good and marketable title or a valid leasehold interest, as applicable, in each case, free and clear of all Encumbrances other than Permitted Encumbrances; (ii) no Group Company has leased or otherwise granted to any Person the right to use or occupy such Real Property or any portion thereof which is still in effect, other than the granting of Permitted Encumbrances; and (iii) no Group Company has granted any outstanding options, rights of first refusal, rights of first offer, rights of reverter or other third-party rights to purchase such Owned Real Property. Except for the Permitted Encumbrances, there exist no Encumbrances affecting the Leased Real Property created by, through or under any Group Company.

  • Licenses and Permits Each Mortgagor covenants in the Mortgage Loan documents that it shall keep all material licenses, permits, franchises, certificates of occupancy and applicable governmental approvals necessary for the operation of the Mortgaged Property in full force and effect, and to the Mortgage Loan Seller’s knowledge based upon any of a letter from any government authorities, zoning consultant’s report or other affirmative investigation of local law compliance consistent with the investigation conducted by the Mortgage Loan Seller for similar commercial and multifamily mortgage loans intended for securitization; all such material licenses, permits, franchises, certificates of occupancy and applicable governmental approvals are in effect or the failure to obtain or maintain such material licenses, permits, franchises or certificates of occupancy and applicable governmental approvals does not materially and adversely affect the use and/or operation of the Mortgaged Property as it was used and operated as of the date of origination of the Mortgage Loan or the rights of a holder of the related Mortgage Loan. The Mortgage Loan requires the related Mortgagor to be qualified to do business in the jurisdiction in which the related Mortgaged Property is located and for the Mortgagor and the Mortgaged Property to be in compliance in all material respects with all regulations, zoning and building laws.

  • Governmental Permits The Company does, or will prior to the date the Project is Placed in Service, own, hold or possess all licenses, franchises, permits, privileges, immunities, approvals and other authorizations from a governmental body which are necessary to entitle it to own or lease, operate and use its assets located at the Project and to carry on and conduct its business at the Project, including, but not limited to, all required permits or licenses from any state or local governmental agencies and any required certifications from local or national boards or agencies indicating that the business of the Project is being conducted lawfully (herein collectively called “Governmental Permits”). No notice of cancellation, of default or of any dispute concerning any Governmental Permit, or of any event, condition or state of facts described in the preceding sentence, has been received by, or is known to, the Company.
