PROPERTY OF THE BUSINESS. All memoranda, notes, lists, records and other documents or papers (and all copies thereof) relating to the Business, including such items stored in computer memories, on microfiche or by any other means, made or compiled by or on behalf of the Shareholders or the Corporation or made available to them relating to the Business, but excluding any materials (other than the minute books of the Corporation) maintained by any attorneys for the Corporation or the Shareholders prior to the Closing, are and shall be the property of WCI and have been delivered or will be delivered or made available to WCI at the Closing.

Upon XXXXXXX'x termination of employment (for any reason), all memoranda, notes, lists, records and other documents or papers (and all copies thereof) including items stored in computer memories, on microfiche or by any other means, made or compiled by or on behalf of XXXXXXX, or made available to XXXXXXX relating to the business of EWOK, are and shall be EWOK's property and shall, if in the possession of XXXXXXX, be promptly delivered to EWOK.

All memoranda, notes, lists, records and other documentation or papers (and all copies thereof), including such items stored in computer memories, or microfiche or by any other means, which will become the New LP’s property (after the consummation of transactions contemplated by this Agreement), are and shall be the New LP’s property and shall be delivered to the New LP promptly on the request of Buyer.
