PROPERTY LEASE FRAMEWORK AGREEMENT. As the highest applicable percentage ratio to the property lease services provided by Energy China Group and its subsidiaries to the Group is more than 0.1% but less than 5%, the related services shall be subject to the reporting and announcement requirements but exempt from the independent shareholdersapproval requirement under Chapter 14A of the Listing Rules. CONFIRMATION OF THE BOARD Our Directors (including our independent non-executive Directors) consider that the terms of the transactions contemplated under the Three Framework Agreements and the annual caps are on normal commercial terms in the ordinary and usual business course of the Company and are fair and reasonable and in the interests of the Company and its Shareholders as a whole. The Board has considered and approved the resolutions in relation to the renewed continuing connected transactions. As Xx. Xxxx Xxxxxxxx and Xx. Xxxx Xxxxxxxx, the Directors of the Company, are also the directors of Energy China Group, they are deemed to have material interests in the transactions between the Group and Energy China Group. They have abstained from voting on the approval of the Three Framework Agreements and the transactions contemplated thereunder at Board meetings in accordance with the requirements of the Listing Rules. Save as disclosed above, none of the Directors has material interests in the Three Framework Agreements.

PROPERTY LEASE FRAMEWORK AGREEMENT. On 31 December 2020, the Company entered into the Property Lease Framework Agreement with Xxxxxxxx Xxxxxxx, pursuant to which the Company agreed to lease certain properties to Xxxxxxxx Xxxxxxx and its subsidiaries as their office premises for a term of three years commencing from 1 January 2021 to 31 December 2023. LISTING RULES IMPLICATIONS As at the date of this announcement, Xxxxxxxx Xxxxxxx is the controlling Shareholder of the Company. Zhaojin Refinery is a subsidiary of Shandong Zhaojin and therefore a connected person of the Company, and Goldsoft Technology is a subsidiary of the Company. Accordingly, the transactions contemplated under the Land Lease Framework Agreement, the Gold Refinery Agreement, the Informatization Services Framework Agreement and the Property Lease Framework Agreement constitute continuing connected transactions of the Company under Chapter 14A of the Listing Rules. Given that the highest applicable percentage ratio (as defined under Rule 14.07 of the Listing Rules) in respect of each of the Land Lease Framework Agreement, the Gold Refinery Agreement, the Informatization Services Framework Agreement and the Property Lease Framework Agreement is more than 0.1% but less than 5%, the transactions contemplated under the Land Lease Framework Agreement, the Gold Refinery Agreement, the Informatization Services Framework Agreement and the Property Lease Framework Agreement are subject to the reporting and announcement requirements but are exempt from the independent Shareholdersapproval requirement under Chapter 14A of the Listing Rules.

  • Lease Agreement On the terms stated in this Lease, Landlord leases the Premises to Tenant, and Tenant leases the Premises from Landlord, for the Term beginning on the Commencement Date and ending on the Termination Date unless extended or sooner terminated pursuant to this Lease.

Upon any request of the Leasehold Mortgagee, or its designee, Landlord agrees to enter into a new lease ("New Lease") of the Premises with such Leasehold Mortgagee or its designee for the remainder of the term of this Lease, effective as of the date of termination or rejection, as the case may be, at the Rent, and upon the terms, covenants and conditions (including all transfer rights, but excluding requirements which are not applicable or which have already been fulfilled) of this Lease; provided, however, that (i) the Leasehold Mortgagee whose lien upon the Premises is superior to the lien of any other Leasehold Mortgage (the "Senior Leasehold Mortgagee") shall have the right to give notice of its intent to enter into a New Lease to the Landlord for a period of 60 days from its receipt of the notice referred to in the first sentence of this Section 18.2.18 and (ii) if the Senior Leasehold Mortgagee does not exercise its right to enter into the New Lease during this 60-day period; the Leasehold Mortgagee whose lien upon the Premises is superior to the lien of any other Leasehold Mortgage (other than the Senior Leasehold Mortgagee) shall have the right to give notice of its intent to enter into a New Lease to the Landlord during the remainder of the period(s) specified below; and provided further, however,
