Prompt Notification. The employee shall promptly notify the immediate supervisor, by telephone or otherwise, on the first day off due to illness and each day thereafter unless advised otherwise by the immediate supervisor. For those absences of more than one day, notification on his/her first day off with an expected date of return shall suffice. The employee shall advise the supervisor of any change in expected date of return. If an employee is on a special work schedule, particularly where a relief replacement is necessary when the employee is absent, the employee shall notify the immediate supervisor as far as possible in advance of the scheduled time to report for work.
Prompt Notification. Contractor understands, acknowledges and agrees that the purpose for prompt notification to the District pursuant to these provisions is to allow the District to investigate the condition(s) so that the District shall have the opportunity to decide how the District desires to proceed as a result of the conditions. Accordingly, failure of Contractor to promptly notify the District in writing, pursuant to these provisions, shall constitute Contractor's waiver of any claim for damages incurred as a result of the conditions.

Immediately advise HSBC of (a) any material adverse change in the Company’s assets, liabilities, financial condition, business or prospects, or of the occurrence of any default or Event of Default; (b) any proceedings instituted against the Company or any of the Guarantors or any entity with whom the Company is in partnership by or in any Federal or state court or before any commission or other regulatory body, Federal, state or local, which, if adversely determined, would have a materially adverse effect upon its business, operations, properties, assets, or condition, financial or otherwise; (c) any occurrence of any loss, theft or destruction of or damage to any of the Company’s inventory of Precious Metal (including, for such purpose, any Consigned Precious Metal); (d) any change in the Company’s principal office or any address where Consigned Precious Metal or Precious Metal inventory of the Company is located; and (e) any change in the Company’s fiscal year-end or the Company’s independent certified public accountants.
Prompt Notification. The parties are obliged to promptly notify the other party in writing of any third party claim or the possibility of a third party claim, suit or proceeding brought against End User or XXXX based on an allegation that the XXXX-Software infringes upon any U.S., Canadian, or European patent or copyright of any third party (“Infringement Claim”).
Prompt Notification. The Party affected by the Force Majeure event shall upon its occurrence promptly give written notice to the other Party specifying the nature of the event and its anticipated duration. SECTION 19 DISPUTE RESOLUTION
Prompt Notification. From the Execution Date until the Closing Date, each of TEGP and the Partnership shall, and shall cause its Subsidiaries to, promptly notify the other Party in writing of (i) any event, condition or circumstance that could reasonably be expected to result in any of the conditions set forth in Article VI not being satisfied at the Effective Time, and (ii) any material breach by the notifying party of any covenant, obligation or agreement contained in this Agreement; provided, however, that the delivery of any notice pursuant to this Section 5.1(d) shall not limit or otherwise affect the remedies available hereunder to the notified Party.

The RAC Consortium shall promptly notify the State of any non-payment of Revenues (to the extent that the RAC Consortium has actual knowledge of any such non-payment of such Revenues) or other default by an On-Airport Rental Car Company under the Operating Agreement or of any notice of default received by the RAC Consortium under the Operating Agreement.

Each Party shall notify the other Party of any adverse event reports or complaints associated with the use of the Product that comes to such Party’s attention, but in no event more than two (2) calendar days, in the event such reports or complaints come to such Party’s attention on any day other than a Friday, or three calendar days, in the event such reports or complaints come to such Party’s attention on a Friday, after receiving such information, as necessary to enable each Party to comply with all Applicable laws, each Party’s internal policies regarding the recording and reporting of such events and complaints and its obligations to third parties. Without limiting the foregoing, each Party shall provide a copy to the other Party of any information that such Party obtains or receives concerning the Product or package complaint. Additionally, Eyegate shall transfer all requests it receives for medical information relating to the Product to Valeant.
