Promotion Restrictions. 5.1. You are free to promote your own web sites, but naturally any promotion that mentions Xxx Xxxxx could be perceived by the public or the press as a joint effort. You should know that certain forms of advertising are always prohibited by Xxx Xxxxx. For example, advertising commonly referred to as "spamming" is unacceptable to us and could cause damage to our name. Other generally prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name, or your return email address. You may use mailings to customers to promote Xxx Xxxxx so long as the recipient is already a customer or subscriber of your services or web site, and recipients have the option to remove themselves from future mailings. Also, you may post to newsgroups to promote Xxx Xxxxx so long as the news group specifically welcomes commercial messages. At all times, you must clearly representyourselfandyourwebsites asindependentfrom Xxxxxxxx.xxx. If itcomes to our attention that you are spamming, we will consider that cause for immediate termination of this Agreement and your participation in the Xxx Xxxxx Affiliate Program. Any pending balances owed to you will not be paid if your account is terminatedduetosuchunacceptableadvertisingorsolicitation.

Promotion Restrictions. While you are free to market Sigma Beauty on your own web site, the promotion of the Sigma Beauty brand could be perceived to the public as a joint effort. Please be aware certain forms of advertising are prohibited by Sigma Beauty. Please abide by the following guidelines when planning your marketing efforts:
Promotion Restrictions. Partner shall not promote Company via Paid Search Placement in any Search Engine, including but not limited to: • Using Company Brand Features in ad text (both headlines and descriptions). • Bidding on keywords containing Company’s name or Brand Features. • Use xxx.xxxxx.xxx, including the Redirecting Link as a display URL or landing page URL. No Referral Fees from sales generated through keyword bidding or other paid search in Search Engines will be earned or paid. Only banners listed in the “Promotional Materials” section of the Program can be used for promoting Company Products and Services. No modifications to such banners are allowed, including, without limitation, with respect to size, color, text, or other visual changes. Any modified banners shall be removed immediately by Partner upon Company’s request. If such banners are not removed, Partner agrees and acknowledges that no existing or future Referral Fees shall be deemed to be earned or payable to Partner by Company.
Promotion Restrictions. The Hiring Organization shall not at any time directly or indirectly communicate with the media in relation to this Agreement unless it has first obtained XxXX’s written authorization to do so. Any publicity or publications related to this Agreement shall be at the sole discretion of MiHR. MiHR may, in its sole discretion, acknowledge the participation of the hiring organization in any such publicity or publication. The hiring organization shall not publicize, promote or make use of its association with MiHR without the prior written consent of MiHR, which shall not be unreasonably withheld. ACKNOWLEDGMENT The hiring organization shall acknowledge the financial support of the Government of Canada in all public information produced as a result of this agreement. INDEMNIFICATION Both parties agree to indemnify each other and its officers for all losses, damages, costs, expenses, claims, demands, actions, suits or other proceedings of every nature and kind arising from or in consequence of the performance of this agreement, provided such losses damages, costs, expenses, claims, demands, actions, suits or proceedings arise without negligence on the part of either party or its officers or employees, and whether such actions, suits or proceedings are brought in the name of either party. Both parties agree that neither Canada, nor its employees, officers and agents, will have any liability in respect of claims of any nature, including claims for injury or damages, made by any person involved in the activities of the Project or as a result of or arising out of the Agreement, and will indemnify and save harmless Canada, its employees, officers and agents, in respect of such claims.
