Promotion of the Products. In addition to meeting the Minimum Purchase Commitment, Distributor shall use its best efforts to promote the sale of the Products within the Territory, to develop a market for the Products and to enhance the Company's image in the marketplace as a provider of quality medical devices. Distributor's obligations shall include, but not be limited to, preparing promotional materials in appropriate languages for the Territory, advertising the Products in trade publications within the Territory, participating in and featuring the Products at appropriate trade shows, and directly soliciting orders from customers for the Product.

Promotion of the Products. Representative shall, at its own expense, promote the sale of the Products in the Territory. Representative may hire or contract with sales representatives or service personnel to promote the Products and perform the duties hereunder.

Eden will conduct its business in a responsible and professional manner so as to enhance the reputation of the Products in the H&G Market in the Territory.

Such promotion shall include but not be limited to all registration, translation and labelling requirements, preparing the promotional material in appropriate languages for the Territory, advertising the Products in trade publications within the Territory, participating in appropriate trade shows, and directly soliciting orders from customers for the Products. National and local meetings within the Territory shall be sponsored by Distributor while international congresses shall be sponsored by INFRAREDX. For international congresses, INFRAREDX shall use its reasonable best efforts to support the faculty participation of any Distributor clients but is under no obligation to underwrite any associated expenses incurred by Distributor or Distributor’s client. In the event that Distributor’s promotion of the Products requires it to use material that differs from routine promotional material, including in connection with the use of translations, Distributor shall make commercially reasonable efforts to provide copies of such material to INFRAREDX for approval and Distributor shall not use such material until receipt of written approval of such material by INFRAREDX, provided that in the event that INFRAREDX did not give notice on its approval in a timely manner, Distributor may use such material without approval of INFRAREDX subject to Distributor’s indemnity obligations in this Agreement. Distributor shall not use promotional materials contrary to the best interest of INFRAREDX. INFRAREDX shall make marketing materials in English available to Distributor free of charge. Such marketing material may be in printed or electronic format as appropriate.

Promotion of the Products. In no event may I-Med Pro make any representation, guarantee or warranty concerning the Products except as expressly authorized in writing by HemoSense. I-Med Pro shall indemnify, defend, and hold harmless HemoSense, its directors, officers, agents, and affiliates against any liability, loss, costs, or damages arising out of or related to I-Med Pro’s warranties or representations of the Products other than those warranties expressly authorized in writing by HemoSense.
Promotion of the Products. Distributor agrees to use its best efforts, at its own expense, to vigorously promote the sale of the Products within the Territory and to develop a market for the Products and to enhance Manufacturer’s image in the marketplace as a provider of quality medical devices. Distributor’s obligations shall include, but not be limited to, preparing promotional materials in appropriate languages for the Territory, advertising the Products in trade publications within the Territory, participating in appropriate trade shows, and directly soliciting orders from customers for the Product. At the beginning of this Agreement and the beginning of each calendar year, Distributor and Manufacturer shall mutually agree in writing on the sales promotion activities and performance criteria to be met by Distributor for that calendar year. Distributor shall provide Manufacturer with an annual analysis of the total market and realizable market for the Products in the Territory. Such information shall be provided to enable Manufacturer to assist Distributor in fully developing the market demand for the Products and in developing appropriate marketing and business plans for the mutual advantage of Distributor and Manufacturer. Distributor shall discourage and do nothing to promote the clinical reuse of any Product intended by Manufacturer to be limited to a single patient use (i.e., a Disposable Product). In particular, Distributor agrees not to promote the reuse of any disposable Product which has not been clinically tested, licensed and approved as “reusable” or “resterilizable”. Distributor shall also be responsible for customer education, training and technical support.
Promotion of the Products. Fukuda shall, at its own expense, use its Best Efforts to promote the sale of the Volcano Products in the Field throughout the Territory. Such promotion shall include, but not be limited to, preparing promotional materials in languages appropriate for the Territory, advertising the Volcano Products in trade publications within the Territory, participating in appropriate trade shows to the extent Fukuda thinks fit, and directly soliciting orders from customers for the Volcano Products.
