Project Sale. Until a date that is two (2) years after a Certificate of Occupancy is obtained for the Project, Developer shall not sell, convey, or transfer the Property or Project, or any part of them, or any interest in them, by the operation of law or otherwise, to any party that shall cause the Developer or its affiliates to cede majority control of the Project or Property. If Developer breaches this covenant, the Authority Assistance Amount will be permanently terminated by the Authority. If Developer sells the Property more than two (2) years after a Certificate of Occupancy is obtained for the Project, Developer shall assign to the successor Property owner Developer's rights and obligations in connection with any remaining Authority Assistance Amount under Sections 2.4.2.1 (with subsections) and 2.4.2.2 of the DDA, in a form of assignment approved by Authority. Subject to the terms of this Agreement, Authority shall continue to make the Authority Assistance Amount available to any successor to Developer's interest in the Property that becomes a successor by foreclosure, deed in lieu of foreclosure or other enforcement of a mortgage or deed of trust recorded as a lien on the Property by a construction or permanent lender for the Project (a "Mortgagee") and to any person or entity to whom a Mortgagee transfers the Project (in either case, a "Successor") so long as the following conditions are satisfied: (1) if applicable, the Successor completes the Project upon the terms of this Agreement (which may only be modified with the consent of the Authority), (2) the Successor complies with all of the terms of this Agreement relating to the Project; and (3) the Successor pays the property taxes for the Project. Each Mortgagee and Successor is a third-party beneficiary of this paragraph. If Developer is a corporation, limited liability company, partnership or joint venture, any change in the ownership, control or management of, or interest in, Developer shall be deemed to be a transfer of the Property and Project unless the change is first approved in writing by Authority at its sole discretion. This Section 2.4.2.1.3 does not apply to the sale of individual condominiums.

  • PROJECT SERVICES Landlord shall furnish services as follows:

  • Project 3.01. The Recipient declares its commitment to the objectives of the Project. To this end, the Recipient shall carry out the Project in accordance with the provisions of Article IV of the General Conditions.

  • Project Scope The physical scope of the Project shall be limited to only those capital improvements as described in Appendix A of this Agreement. In the event that circumstances require a change in such physical scope, the change must be approved by the District Committee, recorded in the District Committee's official meeting minutes, and provided to the OPWC Director for the execution of an amendment to this Agreement.

  • Acquisition, Sale and Maintenance No Borrower shall acquire or accept any Inventory on consignment or approval, and shall take all steps to assure that all Inventory is produced in accordance with Applicable Law, including the FLSA. No Borrower shall sell any Inventory on consignment or approval or any other basis under which the customer may return or require a Borrower to repurchase such Inventory. Borrowers shall use, store and maintain all Inventory with reasonable care and caution, in accordance with applicable standards of any insurance and in conformity with all Applicable Law, and shall make current rent payments (within applicable grace periods provided for in leases) at all locations where any Collateral is located.

  • Development Work The Support Standards do not include development work either (i) on software not licensed from CentralSquare or (ii) development work for enhancements or features that are outside the documented functionality of the Solutions, except such work as may be specifically purchased and outlined in Exhibit 1. CentralSquare retains all Intellectual Property Rights in development work performed and Customer may request consulting and development work from CentralSquare as a separate billable service.

However, the Recipient may apply to the Director in writing for an extension of the date to initiate construction. The Recipient shall specify the reasons for the delay in the start of construction and provide the Director with a new start of construction date. The Director will review such requests for extensions and may extend the start date, providing that the Project can be completed within a reasonable time frame.
