Project Authorizations. Written authorization, in substantially the form of Exhibit “A-1” attached hereto, executed by Architect and the District and approved by the District’s Board, which identify specific scopes of work assigned to Architect under the terms of this Agreement, and any Exhibits or provisions specific to that Project Authorization, and incorporated thereto, in addition to those contained in this Agreement.

Project Authorizations. The Lessee has obtained, or shall in the ordinary course of business obtain prior to the time required, all certificates, Permits, Governmental Actions, licenses, authorizations and approvals required (i) in the management and operation of the Project in accordance with and as contemplated by the Project Contracts, the Facility Support Agreement and this Lease, (ii) for any change or modification of the use of the Project, (iii) for construction of any improvements thereto and (iv) for acquisition of equipment related to the Project for use with respect thereto, and a list of all such certificates, Permits, Governmental Actions, licenses, authorizations and approvals required by all applicable law in effect on the date hereof is attached as Exhibit D hereto.
Project Authorizations. Agent (or its contractors or subcontractors) has obtained, or shall in the ordinary course of business obtain prior to the time required, all certificates, Permits, licenses, authorizations and approvals required (a) in the construction and operation of the Project in accordance with and as contemplated by the Construction Documents, the Project Contracts, this Agreement and the Lease, and (b) for acquisition of equipment related to the Project for use with respect thereto. A list of all such certificates, Permits, licenses, authorizations and approvals required by all applicable law in effect on the date hereof is attached as Exhibit F hereto, which Exhibit F shall be updated on the date of each advance.
Project Authorizations. The Lessee has obtained, or shall in the ordinary course of business obtain prior to the time required, all certificates, permits, licenses, authorizations and approvals, including Environmental Approvals, required (i) in the management and operation of the Project in accordance with and as contemplated by the Project Contracts or this Lease, (ii) for any change or modification of the use of the Project, (iii) for construction of any improvements thereto and (iv) for acquisition of equipment related to the Project for use with respect thereto, except where the failure to obtain any permits, licenses, authorizations or approvals, individually or in the aggregate, (A) will not subject either the Lessor or any Assignee to any danger of civil liability for which the Lessor or such Assignee is not adequately indemnified or subject the Lessor or any Assignee to any danger of criminal liability, provided that, in the case of any such danger of criminal liability, any grace period in which to cure such failure shall not be applicable and (B) could not reasonably be expected to have a material adverse effect on (a) the construction, operation, maintenance, leasing, ownership, use, value or regulatory status of the Project (provided, that a material adverse effect with respect to the regulatory status of the Project shall only be deemed to occur if, as a result of the failure to obtain such permits, licenses, authorizations or approvals, the Lessee is unable to comply with the provisions of paragraphs (i)(cc) and (ii)(i) of Section 2 hereof or Za Termination Event shall occur), (b) the ability of the Lessee to observe and perform its obligations under this Lease, the Agreement for Lease or the Project Contracts in a timely manner or the ability of the Guarantor to perform its obligations under the Guaranty in a timely manner, (c) the business, assets, properties, financial condition, operations or prospects of the Guarantor, or (d) the rights or interests of the Lessor or Assignee under this Lease, the Agreement for Lease, the Guaranty or the Project Contracts. A list of all such certificates, permits, licenses, authorizations and approvals required by all applicable law in effect on the date hereof is attached as Exhibit C hereto.

Project Authorizations. All Project Authorizations (other than Future Project Authorizations) have been obtained and are in full force and effect and the Future Project Authorizations will be obtained when required and/or necessary and will be in full force and effect at such time, except, in each case, where failure to obtain individually or in the aggregate, would not, now or at any time while any Loan is outstanding, reasonably be expected to have a material adverse effect on the design, development, engineering construction, commissioning, start-up, management or operation of the Project. The Project and Project Assets comply in all material respects with the specifications, plans and drawings submitted to obtain the Project Authorizations except, in each case, where failure to obtain individually or in the aggregate, would not, now or at any time while any Loan is outstanding hereunder, reasonably be expected to have a material adverse effect on the Project Assets or the design, development, engineering, construction, commissioning, start-up, management or operation of the Project. No Obligor has received any written notification, of any pending or threatened non-issuance, non-renewal, revocation, cancellation, suspension, adverse change or refusal of, or taken any steps for, and no event has occurred, and no state or condition exists, which could reasonably be expected to result in, the non-issuance, non-renewal, revocation, cancellation, suspension, adverse change or refusal of any Project Authorizations (except to the extent that any such non-issuance, non-renewal, revocation, cancellation, suspension, adverse change or refusal would not reasonably be expected to have a material adverse effect on the design, development, engineering, construction, commission, start-up, management or operation of the Project). Each Obligor is in compliance with all Project Authorizations then required for the Project and with all Applicable Laws and the performance of their respective obligations under the Loan Documents to which they are a party, in each case except to the extent non-compliance would not reasonably be expected to have a Material Adverse Effect.

Project Authorizations. The failure to obtain any Project Authorization required to be held at that time or to comply with any terms or conditions to which any such Project Authorization is subject and such failure could reasonably be expected to materially adversely affect the Project. The suspension, revocation, cancellation, material change, unenforceability or expiration of any Project Authorization while it is still required for the Project and the suspension, revocation, cancellation, material change, unenforceability or expiration of which would reasonably be expected to materially adversely affect the Project and such Project Authorization has not been renewed or replaced within thirty (30) days of such suspension, revocation, cancellation, material change, unenforceability or expiration , provided, however, that such grace period shall only be provided if the Borrower is diligently pursuing such renewal or replacement.
