Prohibition Against Transfers. Borrower shall not permit any Transfer to be undertaken or cause any Transfer to occur other than a Permitted Transfer. Any Transfer made in violation of this Loan Agreement shall be void.

Control means fifty percent (50%) or more of the voting power of the corporation.

Except for Approved Transfers and Permitted Transfers, no Member shall Transfer its Units prior to the fifth anniversary of this Agreement.
