Prohibited Uses. Tenant further covenants and agrees that Tenant shall not use or permit any person or persons to use, the Premises or any part thereof for any use or purpose in violation of the laws of the United States of America, the State of California, or the ordinances, regulations or requirements of the local municipal or county governing body or other lawful authorities having jurisdiction over the Project) including, without limitation, any such laws, ordinances, regulations or requirements relating to hazardous materials or substances, as those terms are defined by applicable laws now or hereafter in effect. Tenant shall comply with, and Tenant’s rights and obligations under the Lease and Tenant’s use of the Premises shall be subject and subordinate to, all recorded easements, covenants, conditions, and restrictions now or hereafter affecting the Project, so long as the same do not unreasonably interfere with Tenant’s use of the Premises or parking rights or materially increase Tenant’s obligations or decrease Tenant’s rights under this Lease.

Provided, so long as however, that (a) in the same event of any conflict between any Rules and Regulations and the express terms of this Lease, the Lease terms shall control; (b) such Rules and Regulations do not require payment of additional material sum of money; (c) such Rules and Regulations do not unreasonably and materially interfere with Tenant’s conduct of its business or Tenant’s use and enjoyment of the Premises or parking rights or materially increase Tenant’s obligations or decrease Tenant’s rights under this LeasePremises; (d) Landlord provides reasonable advance written notice thereof; and (e) such Rules and Regulations are uniformly enforced in a non-discriminatory manner.

Prohibited Uses. Tenant shall immediately notify Landlord, and shall direct Tenant’s rights agents, employees contractors, invitees, assignees and obligations sublessees to immediately notify Tenant, of its actual knowledge of any incident in, on or about the Premises, the Building or the Property that would require the filing of a notice under the Lease and Tenant’s use of the Premises shall be subject and subordinate toany federal, all recorded easementsstate, covenantslocal or quasi-governmental law (whether under common law, conditionsstatute or otherwise), and restrictions ordinance, decree, code, ruling, award, rule, regulation or guidance document now or hereafter affecting enacted or promulgated, as amended from time to time, in any way relating to or regulating any Hazardous Substance. Landlord shall also immediately notify Tenant of any such incident. As used herein, “Hazardous Substance” means any substance which is toxic, ignitable, reactive, or corrosive and which is regulated by any local government, the ProjectState of California, so long or the United States government. “Hazardous Substance” includes any and all material or substances which are defined as “hazardous waste,” “extremely hazardous waste” or a “hazardous substance” pursuant to state, federal or local governmental law. “Hazardous Substance” also includes asbestos, polychlorobiphenyls (i.e., PCB’s) and petroleum. To the same do not unreasonably interfere with knowledge of Landlord as of the date of this Lease, no Hazardous Substance is present on the Project or the soil, surface water or groundwater thereof, except as set forth in reports provided to Tenant prior to Tenant’s use execution of the Premises or parking rights or materially increase Tenant’s obligations or decrease Tenant’s rights under this Lease.

Tenant shall indemnify, protect, defend and forever hold Landlord harmless from any and all damages, losses, expenses, liabilities, obligations and costs arising out of any failure of Tenant to observe or decrease Tenant’s rights under perform any of the covenants, conditions or provisions contained in this Section 5.2. Landlord shall have the right to impose reasonable, nondiscriminatory and customary rules and regulations regarding the use of the Project that do not unreasonably interfere with Tenant’s use of in, on or about the Premises, except that Tenant may use within the Premises such substances as are customarily and lawfully used for general office purposes, provided that such substances shall be properly labeled and contained and shall be used and stored only in small quantities reasonably deemed necessary by Landlord for general office use and strictly in accordance with respect to all applicable laws and the orderly operation of the Project, and Tenant shall comply with such reasonable rules and regulationsmanufacturers’ instructions therefor.
