Prohibited Sales. Distributor agrees not to, and agrees to use reasonable efforts to ensure that Distributor’s subdistributors, agents and customers do not sell or use any of the Products outside the Territory. If Distributor receives any order from a prospective purchaser whose principal place of business is located outside the Territory, Distributor shall immediately refer that order to Supplier, and Distributor shall not accept any such orders. Distributor may not deliver or tender (or cause to be delivered or tendered) any Product outside of the Territory.
Prohibited Sales. Notwithstanding anything to the contrary, the sale of liquor, beer, or other alcoholic beverages, and tobacco products, as well as any and all controlled substances, including but not limited to marijuana, is strictly prohibited on the Vendor Premises. A breach of this Section 7 shall be grounds for the immediate termination of this Agreement.

Prohibited Sales. Except as expressly permitted by Hilfiger in writing, Licensee may not (a) market or promote or seek customers for Licensed Products outside of the Territory; (b) establish a branch, wholly owned subsidiary, distribution center or warehouse with inventories of Licensed Products outside the Territory; (c) sell or distribute any Licensed Products to wholesalers, jobbers, diverters, catalog vendors or any other entity that does not operate retail stores exclusively; (d) sell or distribute any Licensed Products over the Internet or any other global or regional computer access network; (e) use Licensed Products as giveaways, prizes or premiums, except for promotional programs which have received the prior written approval of Hilfiger; or (f) sell Licensed Products to any third party or Affiliate of Licensee or any of its directors, officers, employees or any person having an equity participation in or any other affiliation to Licensee, without the prior written approval of Hilfiger. Hilfiger may, at Licensee's expense, purchase any Licensed Products found in the marketplace that Licensee has sold to unapproved customers. Licensee shall include and shall enforce the following on all invoices to its customers: "Limitations on Sale by Buyer". ----------------------------- Seller expressly reserves the right to limit the amount of merchandise delivered to only such quantities as are necessary to meet the reasonably expected demand at buyer's store locations. This Merchandise is sold to Buyer for resale to the ultimate consumer only. Buyer shall be expressly prohibited from selling the merchandise purchased hereunder to a retailer or other dealer in like merchandise, or to any party who Buyer knows, or has reason to know, intends to resell the merchandise. The merchandise purchased hereunder may not be sold by Buyer from any store locations which Seller has been advised Buyer do not qualify as an acceptable location.
Prohibited Sales. By accepting shares of Common Stock, the Grantee agrees not to sell shares at a time when applicable laws or the Corporation’s rules prohibit a sale. This restriction shall apply as long as the Grantee is an employee, consultant or director of the Corporation or a Subsidiary. The Grantee agrees, if requested by the Corporation, to hold such shares for investment and not with a view of resale or distribution to the public, and if requested by the Corporation, the Grantee must deliver to the Corporation a written statement satisfactory to the Corporation to that effect.
Prohibited Sales. Buyer agrees that the following types of sales or transfers of NUNHEMS Watermelon/Melon Seed Products are prohibited (“Prohibited Sales”): sales or transfers are prohibited to any person who has not signed an Agreement of Additional Terms and Conditions of Sale for the current Sales Period (section 1.3). BUYER AGREES THAT IT WILL INDEMNIFY, DEFEND AND HOLD SELLERS HARMLESS FROM ANY AND ALL CLAIMS ARISING FROM PROHIBITED SALES OF NUNHEMS WATERMELON/MELON SEED PRODUCTS, WHETHER THE LEGAL THEORY FORMING THE BASIS OF SUCH CLAIM INVOLVES CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE.
Prohibited Sales. The Provider or Pharmacy shall not seek benefits under the Card Program for the purchase of over the counter drugs or any drugs that are excluded from the definition of “covered drugs” under the Program. F. 42 C.F.R. § 403.816(b)(4)(i) Waiver. LTCPA agrees to waive any penalties against long term care pharmacies for submitting late claims to the special endorsed sponsor due to the pharmacy’s coordination of benefits activities;
Prohibited Sales. No vendor may sell alcoholic beverages, food or other controlled substances Submission of an application to vend constitutes acceptance of this agreement.
Prohibited Sales. During the Agreement Term and the Post-Agreement Period, except as expressly agreed by the Company in writing, OAI shall not (i) sell any Product for resale or for export out of the Territory; (ii) export any Product from the Territory; or (iii) sell any Product to any person, firm or company in the Territory which OAI knows or has reason to believe intends to resell or export the Product out of the Territory.
Prohibited Sales. Until (a) the Note is fully paid and satisfied, and (b) [*] has no further commitment to make advances under the Note, neither Xxxxxx Xxxxxxxx nor Xxxxxxxx Xxxxxxxxx (collectively, the "Shareholders") shall entered into any transaction which would result in the sale or pledge of any Common Stock owned by the Shareholders.
