Program Phase. 2.4.1 The Professional shall meet with the Owner to ascertain the general requirements for the Project and shall meet with the Project Program Committee to define in more detail the Scope of the Project, the functional and departmental objectives of the Project, the relationship of the Project to other structures and facilities, and the criteria for selection of the site. The Professional shall advise the Owner and the Project Program Committee as to cost of the Project and time requirements for planning and construction. The Professional shall prepare and submit to the Owner a comprehensive written Project Program. The Program will include as a minimum the following elements:

Attendance at orientation meetings at the Project site and University office to review the terms of this Agreement, University procedural requirements at various development phases and the Program of the Project. For the purposes of the Agreement, the term "Program" includes: this Agreement, the Letter of Intent, the Scope of Services, State University Construction Fund Directives, and the comprehensive Project program addenda and the Program Budget.
Program Phase. 1.1.1 The DESIGN PROFESSIONAL shall review and evaluate the existing facility for identification of areas in non-compliance with current codes, and areas needing repair or replacement. The DESIGN PROFESSIONAL shall gather all pertinent data required to develop a complete Project program. This phase shall include, as a minimum, the following tasks:
Program Phase. SB may declare Program Status for Royalty-Bearing Products using the criteria set forth in Schedule B or other criteria subsequently agreed upon by the parties. SB may select a Program Status Compound at any time. SB will make its selections of Program Status Compounds in its sole discretion under the criteria in Schedule B or other criteria subsequently agreed upon by the parties, however SB will not treat Licensed Compounds or ArQule Analog Compounds differently from other compounds that SB considers for Program Status. SB shall promptly furnish ArQule with written notice upon the selection of a Royalty-Bearing Product as a Program Status Compound. Effective upon receipt of this notice by ArQule, the Program Status Compound and all other ArQule Compounds and Analog Compounds in the same Licensed Compound Set will no longer be subject to reversion as described in Section 9.3. At the request of SB, ArQule will transfer synthetic protocols for Program Status Compounds if transfer did not previously occur.

Program Phase. Monthly payments for the percentage of work complete up to ninety percent (90%) of the fee for the Phase; one hundred percent (100%) payment upon acceptance and approval of the Program Phase within the timeframes noted in Exhibit C. The District may approve the work of one phase, retain 10% of the fee for this same phase, and direct the A/E to proceed into the next phase. This option may be exercised if said work is behind schedule by more than seven (7) calendar days and if, in the District’s opinion, the delay is not attributable to factors beyond the control or responsibility of the A/E. This 10% fee retention will be released to the A/E at the completion of any subsequent phase when the work of this agreement is deemed to comply with the schedule outlined as specified in Exhibit C.
