Professional Services Rendered. In exchange for products and services outlined in this Professional Services Agreement, Rock Island County agrees to pay Fidlar Technologies the total amount due in the following payment schedule:  Scan, Capture, & Image Processing $1,208,724.33 o Includes Scanning, Image Cropping, Border Removal, Image Enhancements, & Grouping/Naming of Images.  Project Resource Management & Import $120,642.02 TOTAL INVESTMENT $1,329,366.35 *Totals are based in 24-hour on-site access for scanning. **Total Investment is based on estimated quantities. Final invoice will reflect actual quantities. Fidlar guarantees that the final invoice will not exceed the estimate by more than 2%. Fidlar also agrees that if the quantities are less than estimate that the amount will be credited back to Rock Island County. **Recorder/County will have latitude to amend contract options in order to keep contract within budget. Billing Milestones 50% ($664,683.17) due upon signing of this Professional Services Agreement Remaining 50% ($664,683.17) will be paid in 60 equal monthly installments with 5% interest included. Interest accrual will commence on November 15, 2018. Payment Schedule will be 60 monthly payments of $12,543.39 starting December 15, 2018, due the fifteenth of each month, with final payment due November 15, 2023.   • Professional Services Bodily injury" or "property damage" arising out of the rendering of or failure to render profes- sional services;

  • Professional Services Fees You agree to pay us the professional services fees in the amounts set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy. You acknowledge that the fees stated in the Investment Summary are good-faith estimates of the amount of time and materials required for your implementation. We will bill you the actual fees incurred based on the in-scope services provided to you. Any discrepancies in the total values set forth in the Investment Summary will be resolved by multiplying the applicable hourly rate by the quoted hours.

  • Other Professional Services We will provide you the various implementation-related services itemized in the Investment Summary and described in the Statement of Work.

  • Professional Service Consultant agrees that all services and work performed under this agreement will be accomplished in a professional manner, in accordance with the accepted standards of Contractor’s profession.

  • Scope of Professional Services 3.1 On the terms and conditions set forth in this Agreement, COUNTY hereby engages CONTRACTOR to provide all labor, materials and equipment to complete the Project/Service in accordance with the Scope of Services, attached hereto and incorporated herein as Attachment A, as modified or clarified by Addendum(s) # , dated , attached hereto and incorporated herein by reference as Attachment B.   • Professional Services Warranty Kodak warrants that it shall perform Professional Services in a professional manner using appropriately skilled personnel in accordance with generally accepted industry standards and Kodak’s then current policies and procedures. Subject to the provisions of condition 16.1 Customer’s sole and exclusive remedy under the warranty described in this condition shall be, at Kodak’s option, (1) re-performance of the non-conforming Professional Services, or (2) refund of the amount paid by Customer for the non-conforming Professional Services.

  • Provision of Professional Services We will provide any Professional Services set out in a relevant Order Form in a professional and workmanlike manner, using reasonable skill and care in accordance with industry practice and any relevant SOW. Where it is necessary for Us or Our Group to visit your sites in order to perform Professional Services you shall at no cost to Us or Our Group: (a) provide reasonable access to any relevant sites at times to be agreed; (b) inform Us of health and safety, and security policies applicable at the sites; (c) ensure the sites are safe;

  • Contract for Professional Services of Physicians Optometrists, and Registered Nurses In accordance with Senate Bill 799, Acts 2021, 87th Leg., R.S., if Texas Government Code, Section 2254.008(a)(2) is applicable to this Contract, Contractor affirms that it possesses the necessary occupational licenses and experience.
