Professional Services Engagements. All professional services engagements shall be performed under a separate professional services agreement, mutually agreed upon in writing by authorized representatives of each of us. Any fees for Software hereunder shall be due and payable under the terms set forth in Section 5 of this Agreement, and shall not be dependent or contingent in any way upon the performance or completion of any separate professional services engagement.

Professional Services Engagements. During the Term (but excluding the Wind Down Term), Customer may request Company to provide implementation, configuration or other professional services related to the Platform (“Professional Services”), which may include provision of certain deliverables, and other Services (collectively, the “Services”). The scope of the Services will be specified in (i) the applicable Platform Order, or (ii) one or more Statement(s) of Work (SOW(s)) executed between the Company and the Customer. When executed by the Parties, each SOW shall form a part of this Agreement and be subject to the terms and conditions set forth herein. Each SOW will describe (a) the Services to be performed and any related deliverables, documentation or other material to be provided by Company, and (b) the anticipated delivery date(s) and Fees for the Services.
Professional Services Engagements. 4.1. Professional Services RPI will provide Client implementation, consulting, and other services (“Professional Services”) as described in the Sales Order and/or associated Statement of Work (“SOW”). Client will pay RPI fees for the Professional Services as provided in the Sales Order and SOW, together with reasonable travel expenses incurred in connection with Professional Services. Professional Services and travel and living expenses are invoiced as incurred, or as otherwise may be provided in the Sales Order and SOW. Each Professional Services engagement between RPI and Client will be a separate and distinct transaction from Client’s license of the Software, and Client’s payment obligations with respect to the Software are wholly independent of and not contingent upon RPI’s performance of any Professional Services.

  • Professional Services Bodily injury" or "property damage" arising out of the rendering of or failure to render profes- sional services;

  • Professional Services Fees You agree to pay us the professional services fees in the amounts set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy. You acknowledge that the fees stated in the Investment Summary are good-faith estimates of the amount of time and materials required for your implementation. We will bill you the actual fees incurred based on the in-scope services provided to you. Any discrepancies in the total values set forth in the Investment Summary will be resolved by multiplying the applicable hourly rate by the quoted hours.

  • Professional Service Consultant agrees that all services and work performed under this agreement will be accomplished in a professional manner, in accordance with the accepted standards of Contractor’s profession.

  • Other Professional Services We will provide you the various implementation-related services itemized in the Investment Summary and described in the Statement of Work.

  • Scope of Professional Services 3.1 On the terms and conditions set forth in this Agreement, COUNTY hereby engages CONTRACTOR to provide all labor, materials and equipment to complete the Project/Service in accordance with the Scope of Services, attached hereto and incorporated herein as Attachment A, as modified or clarified by Addendum(s) # , dated , attached hereto and incorporated herein by reference as Attachment B. It is understood that the Scope of Services may be modified by change order as the Project/Service progresses, but to be effective and binding, any such change order must be in writing, executed by the parties, and in accordance with the COUNTY’s Purchasing Policies and Procedures. A copy of these policies and procedures shall be made available to the CONTRACTOR upon request.

  • Contract for Professional Services of Physicians Optometrists, and Registered Nurses In accordance with Senate Bill 799, Acts 2021, 87th Leg., R.S., if Texas Government Code, Section 2254.008(a)(2) is applicable to this Contract, Contractor affirms that it possesses the necessary occupational licenses and experience.

  • Professional Services Warranty Kodak warrants that it shall perform Professional Services in a professional manner using appropriately skilled personnel in accordance with generally accepted industry standards and Kodak’s then current policies and procedures. Subject to the provisions of condition 16.1 Customer’s sole and exclusive remedy under the warranty described in this condition shall be, at Kodak’s option, (1) re-performance of the non-conforming Professional Services, or (2) refund of the amount paid by Customer for the non-conforming Professional Services.

  • Educational Services Any service or supply for education, training or retraining services or testing including: special education, remedial education; cognitive remediation; wilderness/outdoor treatment, therapy or adventure programs (whether or not the program is part of a Residential Treatment facility or otherwise licensed institution); job training or job hardening programs; educational services and schooling or any such related or similar program including therapeutic programs within a school setting.

  • Provision of Professional Services We will provide any Professional Services set out in a relevant Order Form in a professional and workmanlike manner, using reasonable skill and care in accordance with industry practice and any relevant SOW. Where it is necessary for Us or Our Group to visit your sites in order to perform Professional Services you shall at no cost to Us or Our Group: (a) provide reasonable access to any relevant sites at times to be agreed; (b) inform Us of health and safety, and security policies applicable at the sites; (c) ensure the sites are safe;

  • Professional Services Acceptance The acceptance process (if any) will be described in the applicable Supporting Material, will apply only to the deliverables specified, and shall not apply to other products or services to be provided by HP.
