Professional Medical Services. Medical Group hereby employs Physician, and Physician hereby accepts and agrees to such employment pursuant to all of the terms and conditions of this Agreement. During the term of this Agreement, Physician shall render those professional medical services listed at Exhibit A attached hereto and incorporated herein by this reference and such administrative and management services as may be delegated to Physician by Medical Group on a full-time, exclusive basis in accordance with all of the terms and conditions of this Agreement. Physician hereby agrees to devote his or her full-time and attention, together with his or her best endeavors and skill for the interest, benefit and best advantage of Medical Group. All earnings derived from the Physician's performance of professional medical services shall accrue to and be the property of Medical Group or Genoptix, Inc., as more fully described in Section 4 below.
Professional Medical Services. LGMG shall provide Covered Services at the Health Centers, in accordance with Applicable Law, as set forth more fully in Exhibit A.
Professional Medical Services. Seller shall cease to provide all professional medical services as of the Closing Date, and upon the earlier of (i) thirteen (13) months after the Closing Date, and (ii) the resolution of any pending litigation against Seller, the Unitholders shall (and shall cause Seller to) dissolve Seller in accordance with the laws of the State of Florida.
Professional Medical Services. County hereby grants the right to Kings View to employ, contract with, or otherwise arrange for the services of a Provider, and hereby grants to a Provider the right to provide professional medical services as County may direct. The duties of the Provider in treating clients hereunder shall specifically not be performed under the direct control of County or Kings View, but rather shall be performed by the Provider in accordance with the standards prevailing in the Provider’s related medical community.
Professional Medical Services. Physician agrees to work and improve the health and well-being of the Practice’s patients. For these services, the Physician will be paid at a rate of Fifty-Six Dollars and Fifteen Cents ($56.15) per RVU. This compensation is based on the average from the Xxxxxx’x Hospital Review. These services include, but are not limited to, the following: Provides patient medical services, which are limited to services within the training and experience of the practitioner. Obtains complete, detailed, and accurate medical histories on patients. Reviews patient records to develop comprehensive medical status reports. Performs health assessments and physical examinations, and records all pertinent patient data. Interprets and integrates patient data, for the purposes of establishing presumptive diagnoses, and the general workup of the patient by ordering appropriate laboratory studies, radiological and other special examinations or diagnostic procedures required for the evaluation of illness. Administers injections, immunizations, and oral medication. Sutures wounds. Prescribes, administers, and dispenses drugs in accordance with federal and state laws and standards of practice. Provides instructions and guidance and counseling regarding medical care matters to patients and their families. Arranges for referral or refers patients to needed services that cannot be provided to patients in the clinic. Interviews and advises patients regarding health and illness prevention. Recommends community resources to meet patient and family needs, as appropriate. Triages patient telephone calls and provides consultation, as requested. Performs independent evaluations and treatment procedures in emergency situations. Monitors patients and provides continuity of care between visits. Records complete and accurate chart entries on patient transactions, writing orders, and recording progress notes summarizing patient clinical care. Provides input in hiring, disciplinary action, and termination of clinic personnel. Provides annual clinical evaluations of nursing, lab, and x-ray personnel employed by the clinic. Oversees the nurse practitioner(s) and/or physician assistant(s) to assure clinical competence – may discipline up to, and including, termination of the employee. Provides annual clinical evaluations of the nurse practitioner(s) and/or physician assistant(s) and the office manager.   • Legal Services If this Agreement is for legal services, this section is applicable. Contractor shall: (i) adhere to legal cost and billing guidelines designated by the JBE; (ii) adhere to litigation plans designated by the JBE, if applicable; (iii) adhere to case phasing of activities designated by the JBE, if applicable; (iv) submit and adhere to legal budgets as designated by the JBE; (v) maintain legal malpractice insurance in an amount not less than the amount designated by the JBE; and (vi) submit to legal bill audits and law firm audits if so requested by the JBE, whether conducted by employees or designees of the JBE or by any legal cost-control provider retained by the JBE for that purpose. Contractor may be required to submit to a legal cost and utilization review as determined by the JBE. If (a) the Contract Amount is greater than $50,000, (b) the legal services are not the legal representation of low- or middle-income persons, in either civil, criminal, or administrative matters, and (c) the legal services are to be performed within California, then Contractor agrees to make a good faith effort to provide a minimum number of hours of pro xxxx legal services, or an equivalent amount of financial contributions to qualified legal services projects and support centers, as defined in section 6213 of the Business and Professions Code, during each year of the Agreement equal to the lesser of either (A) thirty (30) multiplied by the number of full time attorneys in the firm’s offices in California, with the number of hours prorated on an actual day basis for any period of less than a full year or (B) the number of hours equal to ten percent (10%) of the Contract Amount divided by the average billing rate of the firm. Failure to make a good faith effort may be cause for nonrenewal of this Agreement or another judicial branch or other state contract for legal services, and may be taken into account when determining the award of future contracts with a Judicial Branch Entity for legal services.

  • ELECTRICAL SERVICES A. Landlord shall provide electric power for a combined load of 3.0 xxxxx per square foot of useable area for lighting and for office machines through standard receptacles for the typical office space.

Exhibit B2 For Funds listed on Exhibit A2 (ETFs) Price Associates provides all accounting, administrative, tax and oversight services to the Funds listed on Exhibit A2, including the below. ACCOUNTING SERVICES Accounting Services provided by Price Associates shall include, among other things: · oversight of quality control, including processing results related to fund accounting services provided by Delegates or other third party service providers relating to pricing. Such oversight includes, but is not limited to, review of (a) NAV calculations and fund valuations, (b) securities pricing and resolution of pricing exceptions, and (c) calculation and preparation of any financial information or schedules; · end-of-day INAV oversight for ETFs that provide INAV · determining accounting and valuation policies, instructing Delegates and/or other service providers, and/or providing it with such advice that may be reasonably necessary, to properly account for all financial transactions and to maintain the Fund’s accounting procedures and records so as to ensure compliance with generally accepted accounting principles and tax practices and rules; and · calculating and authorizing expense accruals and payments; annual fund expense budgets; accrual analysis; rollforward calculations; payment of expenses; fees for payment to service providers; · facilitating on behalf of the Fund resolution and remediation of fund accounting issues escalated by Delegates and/or other service providers; · preparing daily NAV calculations, including all necessary component services such as valuation and particularly private company investment valuation, corporate actions processing, trade processing, and performing month-end and fiscal-period-end close processes; · recordkeeping as required; and · such other accounting services as agreed to by the parties not otherwise performed by Price Associates under the Investment Management Agreement. ADMINISTRATIVE SERVICES Administrative Services provided by Price Associates shall include, among other things: · ensuring maintenance for the Fund of all records that may be reasonably required in connection with the audit performed by the Fund’s independent registered public accountants, or by the Securities and Exchange Commission (“SEC”), the Internal Revenue Service (“IRS”) or such other Federal or state regulatory agencies; · cooperating with the Fund’s independent registered public accountants and taking all reasonable action in the performance of its obligations under the Agreement to assure that the necessary information is made available to such accountants for the expression of their opinion without any qualification as to the scope of their examination including, but not limited to, their opinion included in the Fund’s annual report on Form N-CSR and annual amendment to Form N-1A; · implementing and maintaining the systems, data storage and reporting necessary to perform services outlined herein; · all efforts concerning financial reporting services, including shareholder reports and financial information in regulatory filings; N-PORT and N-CEN; and other financial reporting services as necessary; · determining financial reporting policies, maintaining adequate controls over financial reporting to provide complete and accurate financial information and disclosures that are certified by officers of the Funds. Providing sub-certifications, as requested by officers of the Funds, for the adequacy of such controls and the completeness and accuracy of information included in Form N-CSR or any other form that may require certification; · periodic testing of Internal Revenue Code qualification requirements; · prepare and furnish fund performance information; · prepare and disseminate vendor survey information; · prepare and file Rule 24f-2 notices and payment; and · such other administrative services as agreed to by the parties, not otherwise performed by Price Associates under the Investment Management Agreement.
