Professional Consultant Services. The Professional Consultant shall provide professional services for the Project in accordance with the terms and conditions of this Agreement. The Professional Consultant's performance of services shall be as professional consultant to the Owner to carry out the activities of Project design and construction administration and to provide the technical documents and engineering services to achieve the Owner's Project objectives. The Professional Consultant certifies to the Owner that it is licensed, registered or certified in all required professional disciplines to meet the requirements of Florida Statues, Florida Department of Education regulations, and to meet the requirements of the specific Project. If the Professional Consultant should at any time lose such license, registration or certification in any required discipline, it shall immediately notify the Owner. If the Owner determines that the Professional Consultant cannot perform the professional services required under this Agreement, it shall declare this Agreement void and be obligated to only pay for those services rendered before loss of license, registration or certification after deducting the compensation and related expenses to hire another Professional Consultant to perform the Work required for the Project.

Professional Consultant Services. Consultant. An individual, firm, corporation, or other legal entity with a direct contractual relationship with CDOT to render CM/GC Services and ancillary services. Construction Manager/General Contract (CM/GC). The Alternative Delivery agreement between CDOT and the Consultant, whereby the Consultant will be compensated in exchange for providing CM/GC services. Disadvantaged Business Enterprise (DBE). A Colorado certified Disadvantaged Business Enterprise listed on the Colorado Unified Certification Program (UCP) DBE Directory at xxxxx://xxxxx.xxxxxxxxx.xxx/. Emerging Small Business (ESB). A CDOT certified Emerging Small Business firm listed on the ESB Directory at xxxxx://xxxx.xxxxxxxxx.xxx/FrontEnd/searchcertifieddirectory.asp. Good Faith Efforts (GFE). All necessary and reasonable steps to secure the necessary Commitments to meet the Contract Goal or other requirements of this contract, which by their scope, intensity, and appropriateness to the objective could reasonably be expected to fulfill the contract requirement. Guidance on Good Faith Efforts to meet the Contract Goal is provided in 49 CFR Part 26, Appendix A.
Professional Consultant Services. Upon execution of any professional consultant services agreement for this project, the State may invoice the LPA their share of the total agreement amount. The RC will review and approve any professional services invoices in accordance with the LPA Reimbursement Procedures. Upon review and approval by the State of RC approved professional services invoices, the State will pay the consultant(s) directly.
Professional Consultant Services. CFW agrees to provide the District with professional program implementation and educational consulting services specified in Exhibit A (“Scope of Work”) on an as- needed basis for projects specified in Exhibit B (“Projects”), incorporated herein for all purposes and made a part of this Contract by reference.

  • Consultant Services 4.1 The Consultant agrees to perform the following services and undertake the following responsibilities and duties to the Company to be provided by the Consultant to the Company as consulting services (the "Consulting Services"):

  • Consulting Services 7. Except as ADB may otherwise agree, and except as set forth in the paragraph below, the Borrower shall apply quality- and cost-based selection for selecting and engaging Consulting Services.

  • Professional Services Fees You agree to pay us the professional services fees in the amounts set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy. You acknowledge that the fees stated in the Investment Summary are good-faith estimates of the amount of time and materials required for your implementation. We will bill you the actual fees incurred based on the in-scope services provided to you. Any discrepancies in the total values set forth in the Investment Summary will be resolved by multiplying the applicable hourly rate by the quoted hours.

  • Laboratory Services Covered Services include prescribed diagnostic clinical and anatomic pathological laboratory services and materials when authorized by a Member's PCP and HPN’s Managed Care Program.

  • INDEPENDENT PERSONAL SERVICES 1. Income derived by a resident of a Contracting State in respect of professional services or other activities of an independent character shall be taxable only in that State except in the following circumstances, when such income may also be taxed in the other Contracting State:
