Product Roadmap. The Company shall use its commercially reasonable best efforts to diligently execute between the date hereof and the Closing Date the product roadmap set forth on Schedule 5.03 within the time frames set forth therein. The Company shall provide regular updates to Parent with respect thereto, as requested by Parent.

Product Roadmap. 11.1. The Supplier has sole discretion and control over the Vizrt Software product road map and may modify at any time (with or without notice to the Customer) the functionality, performance, configuration, appearance, and/or content of the Vizrt Software provided that, in each case, such modifications do not result in a material reduction to, or loss of, the functionality and/or performance of the Vizrt Software during the Subscription Period. 11.2. Nothing in the Agreement shall restrict the Supplier from developing and/or using any techniques, ideas, concepts, or know-how related to methods or processes acquired during the provision of the Vizrt Subscription Service. 11.3. The Customer agrees that the Documentation may be updated or amended by the Supplier from time to time and at the Supplier’s sole discretion (including for the purposes of documenting updates made to the Vizrt Subscription Service under clause 11.1).

Product Roadmap. The Parties acknowledge and agree that each Party benefits from open communication about the Services. DISH and MVNE SP may, subject to the Parties’ obligations of confidentiality set forth in this Agreement, share with one another product roadmaps that are relevant to the Parties’ future business relationship and that will permit the Parties to take into account future needs while planning future products and services. Upon DISH’s request, which may be made at any time and from time to time during the Term, MVNE SP shall promptly provide to, and discuss with, DISH and/or the DISH Affiliates MVNE SP’s one (1) year product roadmap (which product roadmap will include, without limitation, as much reasonable detail as available to MVNE SP related to the planned functionality of its current and future products and services and as much detail regarding product roadmaps and market outlooks as available to MVNE SP at such time) applicable to the Services.

If Tech delivers the [**] Enhancements to Bank for acceptance testing prior to the Delivery Date such that Bank conducts acceptance testing after the Delivery Date, then, in the event the [**] with the functional business requirements pursuant to Section 2.9, Bank shall be entitled to [**], which shall apply retroactively to the Delivery Date, until the [**] Enhancements are accepted by Bank. Either of the foregoing conditions giving rise to Bank’s entitlement to a [**] shall be a material breach of this Services Agreement and Bank, at its option, may immediately terminate this Services Agreement upon either of the foregoing conditions being met, in addition to other remedies available to it pursuant to this Services Agreement or otherwise. (c) Any [**] to which Bank is entitled as a result of the terms of this Section 2.2 shall be determined as follows: (i) for the first month following the Delivery Date, the [**]; (ii) for the month following the first month, the [**]; and (iii) for each month thereafter, the [**]. Product Roadmap. Microphase and Dynamac agree to work together to develop a joint product roadmap based on currently finished products by Dynamac and those products that are currently in development, collectively the test and measurement product line (“the Product Line”) to address test and measurement market opportunities extending into Millimeter-wave range. All costs associated with development and completion of any new products will be covered by the Parties according to the responsibilities identified and assigned tasks between the Parties.

Product Roadmap. SunPower has provided to Enphase its [***] roadmap for residential module compatibility (the “Product Roadmap”), which is attached as Exhibit C. If Enphase fails to qualify and certify a Product listed in the Product Roadmap in accordance with the qualification and certification requirements set forth therein, by the dates set forth therein (“Milestone Dates”), unless such failure is due to SunPower or Force Majeure, then SunPower (i) may procure from Third Parties a MLPE having materially similar specifications to those for the Product not qualified and certified, solely for use with the applicable new module set forth in Exhibit C, until forty-five (45) days after the date that Enphase qualifies and certifies the applicable MLPE, provided that such materially similar, and previously qualified and certified, MLPE is not available from Enphase, and (ii) shall continue to purchase Enphase’s older Products that have been certified and qualified, and at the Prices set forth in Section 2.4. Purchases from Third Parties pursuant to this Section 1.3 will count towards the Total Purchase Commitment and Minimum Annual Commitments discussed in Section 2.3, but only up to the amount set forth in the Rolling Forecast for such Product plus [***]. To the extent any delays in fulfillment of the Product Roadmap are due to the acts or omissions of SunPower or Force Majeure events, the Milestone Dates shall be extended automatically by the number of days corresponding to such delay.
