Product Ownership. The copies of Products provided hereunder are licensed, not sold, and all intellectual property rights and title to the Products shall remain with Us and Our suppliers and no interest or ownership therein is conveyed to You. No right to create a copyrightable work, whether joint or unitary, is granted or implied; this includes works that modify (even for purposes of error correction), adapt, or translate the Product or create derivative works, compilations, or collective works therefrom, except as necessary to configure the Product using the menus, options and tools provided for such purposes and contained in the Product. You shall not attempt to circumvent any user limits or other license, timing or use restrictions that are built in to the Products. Certain items of software code provided along with the Products are subject to “open source” licenses (“Third Party Code”) provided with the Products. The Third Party Code is not subject to the terms and conditions of this Agreement, except for Sections 7 and 8 of this Agreement. Nothing in this Agreement limits Customer’s rights under, or grants Customer rights that supersede the terms and conditions of any applicable license for the Third Party Code, including any rights to copy, modify or distribute Third Party Code under the applicable license. You are hereby notified that the Products may contain time-out devices, counter devices, and/or other devices intended to ensure the limits of a particular license will not be exceeded (“Limiting Devices”). If the Products do contain Limiting Devices, We shall ensure that You receive any keys or other materials necessary to use the Products to the limits of Your license.

Product Ownership. Title of the Product will transfer from TimkenSteel to Timken upon receipt of the Product into the Central Yard. All Product stored and processed within the Central Yard will be owned by Timken. Timken will retain ownership of all printers and bar code readers utilized within the Central Yard.

Product Ownership. The contracted produce remains the property of the grower until it is inspected and accepted as the required quality in compliance with the market specifications by a NAMBoard authorized officer. PLANTING PROGRAMMES NAMBoard will issue a planting programme in each growing season and shall be part and parcel of the contract. Farmers shall be obliged to adhere to the signed planting programme for the season and failure may result to penalties. AGRONOMIC SUPPORT NAMBoard will provide agronomic support and will develop growers to produce high quality produce in sufficient volumes to satisfy the buyer’s requirements. Growers have to comply with the recommendations in order to produce the quality expected. INPUT SUPPLIES The growers will be responsible for procurement of the required inputs (seedling, seeds, fertilizers and chemicals) for the production of the vegetables. NAMBoard/ Purchaser will recommend to them the best quality inputs that will produce a high quality crop. Where possible, NAMBoard will stock these for sale in its Farm Shop at Encabeni market. FINANCING Financing requirements for growers are their responsibility. NAMBoard will not act as surety for loans. However, NAMBoard will assist where ever possible for a grower to secure finance or farming inputs. In the event a Farmer/Grower/Supplier obtains funding from a financial institution the Purchaser/ NAMBoard shall confirm if required to by the financial institution that it indeed entered into this Contract and that it will purchase the produce from the Farmer and/or Supplier in the event the Farmer and/or Supplier meets the produce quality requirement. The Purchaser may make payment directly to the financial institution’s bank account if the Farmer and/or Supplier together with the Financial Institution direct it to do so. Such directive shall be reduced into writing and signed by both the farmer and the financial institution. MARKETING ARRANGEMENTS NAMBoard will pronounce harvesting schedules to the farmer through the Market Extension Officer and agree with the farmer on produce collection date and time. NAMBoard has the responsibility of buying the programmed growers’ produce and negotiate favourable prices to enable the produce to reach end users with less difficulty.
