Product Forecast. 11.1 MSL agrees to participate in the IBM supply and demand process adhering to the IBM EMLS corporate calendar. MSL will utilize the EMLS regen and or provide the input into EMLS to insure a successful supply and demand interlock. The EMLS regen must include all part numbers consumed in the Charlotte Work Center. This forecast will be MSL's authorization to order/purchase Parts only for the fulfillment of orders, in accordance to the IBM published lead-times for such materials. MSL will participate in the process of requirements planning by giving the best Product supply projection and participating in cross functional meetings when required. The following will apply: a) The forecast will contain anticipated Delivery Dates for specified quantities of machine types, models and geographies and lead-time profile updates, as required, for specific Parts. b) MSL will notify IBM within [*] of receipt of a forecast if MSL is unable to meet the quantities and Delivery Dates. If MSL fails to notify IBM within the [*], MSL will be deemed to have accepted the quantities and Delivery Dates and will be bound by them; provided, however, that MSL's actual or deemed acceptance of any forecast shall be subject to the availability of IBM Parts and IBM Designated Parts as needed, and MSL shall not be subject to any penalties (and IBM shall not be able to reject any proposed rescheduling of Delivery Dates) under this Agreement for failure to meet Delivery Dates due to the unavailability of such Parts at the times necessary to meet Delivery Dates, provided further however that such unavailability of IBM Parts or IBM Designated Parts is not due to MSL's failure to properly order such Parts or otherwise properly manage its relationship with the provider of such Parts. c) If MSL notifies IBM that it cannot meet the quantities and Delivery Dates in IBM's forecast, MSL's notification will include the quantities MSL can deliver within the forecast's Delivery Dates and proposed schedule of Delivery Dates for delivering the quantities MSL cannot deliver within the forecast. Product Forecast. During the term of the Agreement, Recipient shall deliver to Supplier a non-binding forecast of Recipient’s good faith estimate of its anticipated purchases of Products during the following twelve (12) months (a “Product Forecast”) which Recipient shall update each month thereafter no later than the last business day of each month during the term of the Agreement. Each such Product Forecast shall be prepared in good faith and include, to the extent reasonably practical, a breakdown of the specific quantity of each such Product that Recipient plans to order during each month during the applicable twelve (12) month period.
Product Forecast. 4.1. It is agreed that Customer will provide Supplier, on a weekly basis Product Forecast. * - Confidential Treatment Requested. Omitted portions filed with the SEC. 4.2. Customer agrees to hold a firm four (4) weeks plus current week schedule in the forecast. Schedule changes within four (4) weeks of Forecast plus the current week may be required to support Customer demand, however they must be mutually agreed to by both parties. Supplier shall provide Customer a net change analysis of new forecasts and load forecast in MRP within five (5) business days. 4.3. Business simulation or “what if” analysis will be required as business conditions warrant. Supplier to provide an initial “sizing” of the request on a best effort basis within a twenty-four (24) hour period. Supplier must provide a complete analysis on how the Teradyne schedule can be achieved within five (5) business days. This change must be mutually agreed upon. The initial response will raise the constraining items, the complete response will provide information on Supplier’s ability to solve these original constraints. Key response items to include are: a. Material constraints. b. Manufacturing and test constraints. c. Premium and test charges.
Product Forecast. Customer anticipates that, in addition to the Initial Purchase, its purchases under the Agreement will be a minimum of $3.5 to $8.5 million during the next five (5) years. To allow GEI to more efficiently meet Customer's needs, at the beginning of each calendar quarter, Customer shall provide GEI with a six-month rolling good-faith forecast of its anticipated Equipment and Software requirements.

Product Forecast. 3.1 It is agreed that Brocade will provide Solectron, on a monthly basis, a non-binding rolling twelve (12) month Product forecast. This section, as appropriate, may be modified in an addendum to reflect specific Product requirements. Solectron shall view all such forecasts as Confidential Information as provided in Section 11.

Product Forecast. 5.1. Harmonic shall provide Plexus on a monthly basis, a twelve (12) month rolling forecast that assumes three (3) months of demand arc covered by Orders issued by Harmonic. Such forecasts are to be used by Plexus for planning purposes and do not constitute any obligation by Harmonic to purchase Products, as the forecasts are estimates based on marketing data, which may be inaccurate and subject to change according to actual market demand. Notwithstanding the foregoing, Plexus may make component purchases based on Harmonic’s forecast with Harmonic’s prior written authorization. Product Forecast. 3.1 It is agreed that Customer will provide Fine Pitch, on a monthly basis, a rolling twelve (12) month Product forecast. This section, as appropriate, may be modified in an addendum to reflect specific Product requirements. 3.2 Customer and Fine Pitch will work together on a plan to ensure that the first units built by Fine Pitch are built at full turnkey (Fine Pitch will procure all the necessary material including the Hard Drive). Fine Pitch will allow Customer reasonable access to their facilities for purposes of monitoring and working with Fine Pitch quality control, manufacturing processes and production.
