Product Discontinuance. We reserve the right to discontinue any Product Package or any component of any Product Package, whether offered as a standalone product or solely as a component, at any time. However, we are obligated to provide support in accordance with the terms of this XXXX for the discontinued Product Package or any discontinued component of the Product Package for a period of one year after the date of discontinuance (provided you are under an active Maintenance Period).
Product Discontinuance. Should a product or model identified in the Contract be subsequently discontinued by the manufacturer, the County at its sole discretion may allow the Contractor to provide a substitute for the discontinued item. The Contractor shall request prior permission from the County to substitute a new product or model and shall provide the County with documentation from the manufacturer confirming that the product or model has been discontinued and identifying the names of the replacement product or model. All replacements shall meet or exceed all Contract specifications, be compatible with all the functions or uses of the discontinued product or model and be at a price equal to or less than the discontinued product or model.
Product Discontinuance. Telerik reserves the right to discontinue the Software or any component of the Software, whether offered as a standalone product or solely as a component, at any time. However, Telerik is obligated to provide support in accordance with the terms set forth in this Agreement for all discontinued Software or components for a period of one (1) year after the date of discontinuance.
Product Discontinuance. Seller shall provide KEYSIGHT written advance notice (hereafter “Product Discontinuance Notice” or “PDN”) of any product discontinuances as soon as possible but no later than six (6) months before the Last Buy Date (LBD). At a minimum, a PDN shall include: KEYSIGHT part numbers, planned substitutions, and last order and shipment dates. Seller will send all PDNs to xxxx_xxxxxxxxxxxxxx@xxxxxxxx.xxx.
Product Discontinuance. VERITAS has the right to discontinue any Software Product, or the availability of Media Kits for any Software Product, upon thirty (30) days prior written notice to IMG. This shall not, however, affect IMG's and its Distributors' and other sublicensees' right to continue to make and distribute Software Copies made by such parties pursuant to Section 6.1 above, provided that IMG shall not, after such discontinuance, market or distribute any discontinued Software Product under VERITAS' trademarks. VERITAS shall provide IMG at least twelve (12) months prior written notice of discontinuance of support for any Software Product.
Product Discontinuance. Seller reserves the right to discontinue production of any Product at anytime, subject to the following conditions. In the event that production of a Product is to be discontinued by Seller, Seller will provide notice to Buyer in writing at least six (6) months in advance of each such discontinuation. At a minimum, for five (5) years after Seller’s first delivery of the Product that is the subject of such discontinuance by Seller, Seller will provide such Product for Buyer in accordance with Buyer’s Purchase Orders for such Product. If the Product production process is stated for end-of-life while this Agreement is in effect, Buyer may continue its use of all licensed IP and custom-developed IP for purposes of supporting Products sold to Buyer’s customers: and (ii) Seller will provide support for all licensed IP and custom developed IP for a period of at least one (1) year after the last shipment of discontinued Product in accordance with the support terms specified in the applicable license agreement.
Product Discontinuance. Seller agrees to notify Buyer at least fifteen (15) months prior to the discontinuance of any Products listed in Exhibit A of this Agreement provided Buyer agrees to reasonably cooperate with Seller to shorten this notice period. New Products that are introduced to replace a discontinued Product will be functionally equivalent or better than the Products being replaced, and the terms and conditions in section 10.0. of this Agreement related to functional equivalence will apply to all proposed New Products.
Product Discontinuance. Licensor will provide the Licensee with sixty (60) to ninety (90) days notice prior to the discontinuance of the Licensed Software as a product offering. Discontinuance of the Licensed Software as a product will in no way change the terms of this Agreement.
Product Discontinuance. McDATA reserves the right to discontinue Products by notifying Reseller in writing at least ninety (90) days prior to the discontinuance date. McDATA agrees to honor all purchases orders received and accepted by McDATA prior to the date specified on the discontinuance notice.
Product Discontinuance. McDATA reserves the right to discontinue Products by notifying EMC in writing [*] prior to the discontinuance date, subject to a mutually agreed upon end of life plan. Prior to such discontinuance date, EMC may place with McDATA a final binding purchase order for such discontinued Product. Such final binding purchase order may specify that the requested Products be shipped to EMC or EMC's Customers [*].
