PRODUCT COMPLAINTS; RECALLS. In the event of a complaint for non-conforming Products Customer shall notify Fresenius Kabi Quality Assurance: (i) via telephone at 0-000-000-0000; (ii) by emailing a performance report form to xxxxxx.xxx@xxxxxxxxx-xxxx.xxx; (iii) faxing a performance report form to 0-000-000-0000; or (iv) submitting an online product performance report at xxxxxxxxxxxxxxxxxx.XxxxxxxxxXxxxXXX.xxx (requires membership). If Xxxxxxxxx Xxxx recalls or withdraws from the market a Product shipped to Customer, Customer shall be reimbursed for any monies paid to purchase the Product returned and the direct out-of-pocket costs for performing recall services specifically requested by Xxxxxxxxx Xxxx in writing.

PRODUCT COMPLAINTS; RECALLS. NGX will inform Formosa of any product complaint it receives that is potentially related to API quality. Formosa will promptly investigate the potential quality issue as described under non-conformances above. Formosa will provide copies of all relevant information to NGX for review and approval as described above. In addition, NGX will investigate and document the product complaint according to its internal procedures and include copies of all relevant Formosa information. NGX is responsible for any correspondence with Regulatory Authorities and the originators of complaints. Formosa will inform NGX within [***] of any product complaint it receives that is potentially related to Product. [***]. In addition, NGX will also investigate the incident according to [***] procedures. Formosa will inform NGX of any field alerts or recalls of products produced by other manufacturers from lots of Formosa’s capsaicin API within [***]. Formosa will maintain clear traceability of all materials used in the manufacture of the API. It will assist NGX with the highest priority if a situation arises that potentially requires recall of Product.

  • Customer Complaints Each party hereby agrees to promptly provide to the other party copies of any written or otherwise documented complaints from customers of Dealer received by such party relating in any way to the Offering (including, but not limited to, the manner in which the Shares are offered by the Dealer Manager or Dealer), the Shares or the Company.

  • Product Recalls The Company is not aware of any pattern or series of claims against the Company or any of its subsidiaries which reasonably could be expected to result in a generalized product recall relating to products sold by the Company or any of its subsidiaries, regardless of whether such product recall is formal, informal, voluntary or involuntary.

  • Complaints If you have a complaint relating to the sale of energy by us to you, or this contract generally, you may lodge a complaint with us in accordance with our standard complaints and dispute resolution procedures. Note: Our standard complaints and dispute resolution procedures are published on our website.

  • Product Claims You acknowledge that Company, not an App Distributor, is responsible for addressing any claims of yours or any third party relating to the Company application or your possession and/or use of the Company application, including, but not limited to: (i) product liability claims; (ii) any claim that the Company application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.   • Product Recall (a) If a recall is required by applicable Law, or if Buyer or Supplier reasonably determines that a recall is advisable because the goods may create a potential safety hazard, are not in compliance with any applicable code, standard or legal requirement, or contain a defect or non-conformance with the requirements of this Order occurring or likely to occur in multiple goods, which such defects or non-conformances are substantially similar or have substantially similar causes or effects (collectively a “Serial Defect”), the parties shall promptly communicate such facts to each other. At Buyer’s request, Supplier shall promptly develop a corrective action plan satisfactory to Buyer, which shall include all actions required to recall and/or repair the goods and any actions required by applicable Law (“Corrective Action Plan”) for Buyer’s review and approval. At Buyer’s election, Xxxxx may develop the Corrective Action Plan. In no event shall Buyer and Supplier’s failure to agree on the Corrective Action Plan delay the timely notification of a potential safety hazard, non-compliance or Serial Defect to users of the goods, cause either party to be non-compliant with applicable Law or prevent Buyer from taking reasonable actions to prevent injury or damage to persons, equipment or other property. Supplier and Buyer shall cooperate with and assist each other in any corrective actions and/or filings, if applicable.

  • Recalls Contractor shall immediately notify OGS of any recalls pertaining to any items awarded to the Contractor. AMERICANS WITH DISABILITIES ACT (ADA) The Federal ADA Act, signed into law July 26, 1990, bars employment discrimination and requires all levels of Government to provide necessary and reasonable accommodations to qualified workers with disabilities. Contractors are required to identify and offer any software or hardware products they manufacture or adapt which may be used or adapted for use by visually, hearing, or any other physically impaired individuals. Although it is not mandatory for Contractors to have this equipment in order to receive an award, it is necessary to identify any such equipment they have which falls into the above category. DIESEL EMISSION REDUCTION ACT Pursuant to §19-0323 of the N.Y. Environmental Conservation Law (“the Law”) it is a requirement that heavy duty diesel vehicles in excess of 8,500 pounds use the best available retrofit technology (“BART”) and ultra low sulfur diesel fuel (“ULSD”). The requirement of the Law applies to all vehicles owned, operated by or on behalf of, or leased by State agencies and State or regional public authorities. It also requires that such vehicles owned, operated by or on behalf of, or leased by State agencies and State or regional public authorities with more than half of its governing body appointed by the Governor utilize BART. The Law may be applicable to vehicles used by Contractors “on behalf of” State agencies and public authorities and require certain reports from Contractors. All heavy duty diesel vehicles must have BART by the deadline provided in the Law. The Law also provides a list of exempted vehicles. Regulations set forth in 6 NYCRR Parts 248 and 249 provide further guidance. The Bidder hereby certifies and warrants that all heavy duty vehicles, as defined in the Law, to be used under this contract, will comply with the specifications and provisions of the Law, and 6 NYCRR Parts 248 and 249. POOR PERFORMANCE An Authorized User should notify OGS Customer Services promptly if the Contractor fails to meet the requirements of this Contract.   • Regulatory Audits BNY Mellon shall, upon reasonable prior notice when possible, make all books and records available to the applicable Voya or Voya Fund regulators and state government representatives or their designees to audit, evaluate and inspect BNY Mellon’s books and records for Voya and such Voya Fund. BNY Mellon agrees to reasonably cooperate with and assist Voya in meeting any regulatory requirements related to audits or inspections imposed upon Voya to the extent that Voya notifies BNY Mellon of such requirements.
