PRODUCER WARRANTIES. (a) Producer covenants and agrees that each Supplied Product delivered to Purchaser hereunder will at the time of delivery (i) materially conform with the Specifications applicable to such Supplied Product (except to the extent any Purchaser Supplied Components result in such Supplied Product not conforming with Specifications) and (ii) have been manufactured, processed, labeled, packaged, stored and held in material compliance with cGMP and in accordance with the Quality Agreement.

In the event Sales Agent has a client wishing to acquire rights to Picture, and such client requires an Errors and Omissions policy to complete the transaction, Producer will have the option but not the obligation to acquire such a policy in order to facilitate the sale. Both the cost and the responsibility for any 3rd party claims regarding Picture rest solely with the Producer.

PRODUCER WARRANTIES. The Chamber represents and warrants: A. That the Chamber has full right to enter into this Agreement and to perform its obligations hereunder and will comply with all applicable Federal, State and Local Laws, ordinances and regulations and with all applicable union agreements to which the Chamber is a signatory. 7. CLIENT WARRANTIES Contracting Client represents and warrants: A. The Client shall pay Producer within 30 days of deliverables noted in Paragraph 1 of this Agreement. The Chamber will be notified in writing prior to signing this Agreement. Client will obtain and maintain insurance coverage with respect to Agency/Client job(s) at no cost to the Chamber and name the Chamber as a “named insured” on said policies prior to the commencement of preproduction. All Agency/ Client supplied insurance will be deemed to be the primary coverage and issued on a non-contributory basis. Client will be responsible for any additional insurance premiums resulting from the need to purchase special coverage not provided by the coverage and pay any and all deductibles associated with Client insurance program. Client will indemnify, defend and hold harmless the Chamber for any and all claims, demands, actions including defense costs and attorneys fees for claims arising from the media(s) and the failure of the Agency/ Client insurance program to be as broad as the Producer’s coverage. 14. ALTERATIONS Any alterations of original art (color shift, mirroring, flopping and paste) creating additional art is prohibited without the express permission of Producer. PRODUCER WARRANTIES. Producer warrants and represents that the submitted Video Content does not contain any Restricted Content as defined herein and herby warrants that Producer is 18 years of age or older; resides within the state boundaries of Colorado. Producer warrants and represents that all necessary rights and clearances to transmit program content over the Public Access Channels or other media platforms have been obtained by Producer and the City will accrue no liability, and the responsibility and liability for program content lies solely with Producer. Producer represents and warrants that the Video Content’s submission, intended use, technical specifications, and content comply with this Agreement and the latest version of DCM’s policies and procedures. Producer shall ensure that such Video Content complies with all applicable laws. Producer represents and warrants that they have obtained all necessary permissions, rights, and clearances for Video Content and the appearance of individuals appearing in their programs and Video Content. Producer may be required to provide satisfactory evidence of such permission upon request.
PRODUCER WARRANTIES. Producer warrants that the Project is not intended to promote or advertise products or services other than the film itself and does not violate any personal or private rights, copyright or trademark, trade name, literary, artist, dramatic or property rights of any individual, firm, or corporation, nor the personal rights or the right of privacy or any other right of any individual, firm or corporation. Producer warrants that all necessary rights, releases, clearances, and/or licenses shall be obtained in connection with production of the Project. Producer will ensure the Project observes PBS standards for underwriting, technical and production credit guidelines (located at xxxx://xxx.xxx.xxx/producers/). Producer agrees to comply with all laws, state or federal, in the production and or distribution of the Project. Producer agrees to indemnify and hold KRCB harmless and defend KRCB, its board members, directors, staff and agents against any claims resulting from a breach of these warranties, including reasonable costs of defense KRCB’S Right of Review.
