Processing Agreement. A gas processing and fractionation agreement in substantially the form set forth in Exhibit C to this Agreement, completed as set forth in Section 3.3(a)(i)(A) or Section 3.4(a).

The Processor represents the Controller in any further (sub)processing agreement; • The Processor will respect the data protection requirements from the EU US Privacy Shield with transfer of data to the EU based subprocessor; • In the context of the agreed activities mentioned in the Partner Agreement, by which this agreement is the written processors agreement, Processor will process personal data commissioned by the Controller without being subject to the direct authority of the Controller; • Processor will only process personal data according to the instructions, on behalf of and under the responsibility of Controller; • Processor is specialized in processing activities regarding learning results of pupils; • Additional other processing activities can be commissioned to Processor by Controller, which document will be attached to this processing agreement as Annex; • Processor shall only process personal data which is assigned by Controller in writing; • Controller and Processors shall, if necessary, write down other conditions for the provision of the services, in a separate agreement or multiple agreements; • If, commissioned by Controller, more or other personal data is being processed or is processed in another way as mentioned in Annex 1, this processors agreement will also apply for these processing activities and personal data.
