Process for Submitting Valid Claims. In order to be paid any payment from the Net Settlement Amount pursuant to this Agreement, a Class Member has to submit a Valid Claim, which means they must properly complete and sign the Claim Form and aW-9 Form and timely return those forms to the Settlement Administrator before the expiration of the Claims Period as set forth herein. Class Members who do not timely submit a Valid Claim to the Settlement Administrator as provided in this Agreement will not be entitled to receive any payment from the Net Settlement Amount but will be bound by the provisions of this Agreement including Section 7. In the event the Claims Administrator determines that a Participating Class Member’s social security number as listed on their W-9 Form is not able to be validated as being correct, the Claims Administrator will notify that Participating Class Member that they will be required to submit a validly completed W-9 Form within ten (10) of the date of the request from the Claims Administrator in order to receive a distribution of their share of the Non-Wage Payment. Failure to provide the Claims Administrator a completed W-9 Form, or submitting equivalent information through the Claims Administrator’s website, as provided in this provision may result in that Participating Class Member not receiving a distribution of their share of the Wage Payment.

  • Sole Source as Grounds for Rejection of a Change Order If a Change Order is submitted to Contractor for the purposes of adding a Bulletin to this Contract and said Bulletin designates a Sole Source from which Contractor is required to procure goods or services necessary to perform the Work, which Sole Source has not been designated previously, Contractor shall be entitled to reject the proposed Change Order if the designated Sole Source refuses to provide to Contractor the warranties, bonds, terms or schedule required under the Contract Documents, including any warranty or terms or schedule required by Bulletins referenced in the proposed Change Order. In such event, Contractor shall give written notice to the Owner rejecting the proposed Change Order and, if possible, shall accompany said written notice with a proposal from Contractor for changes or modifications to the Bulletin so as to eliminate the Sole Source designation but to achieve goods or services equal in quality or function. The Owner may then require the Design Professional to revise the subject Bulletin so as to eliminate the designation of the Sole Source by incorporation of Contractor's proposal or otherwise. Upon revision of the Bulletin by the Design Professional and approval thereof by the Owner, the Owner shall again submit to the Contractor a proposed Change Order for the purpose of adding the revised Bulletin to this Contract. If the Owner decides to retain the Sole Source in the Change Order and Contractor cannot acquire the full contractually required warranties from the Sole Source, Contractor shall be held only to the warranty terms and schedule obtainable from the Sole Source.

  • Solicitations for Subcontracts, Including Procurement of Materials and Equipment In all solicitation, either by competitive bidding or negotiation, made by the Contractor for work to be performed under a subcontract, including procurement of materials or leases of equipment, each potential Subcontractor or supplier shall be notified by the Contractor of the Contractor’s obligations under this Agreement and the Regulations relative to non-discrimination on the grounds of race, color, or national origin.

  • Product Warranty for Software Deliverables During the Project warranty period, defects in the materials or workmanship of the Software Deliverables specified and furnished by or through Contractor shall be repaired or replaced by Contractor at no cost or expense to the Authorized User. Contractor shall extend the Project warranty period by the cumulative period(s) of time, after notification, during which the Software Deliverables require servicing or replacement (down time) or is in the possession of the Contractor, its agents, officers, Subcontractors, distributors, resellers or employees . The Commissioner agrees that Contractor is not responsible for any modification of the Software Deliverables made by an Authorized User without Contractor’s approval.
