Common use of Pro Forma Balance Sheet; Financial Statements Clause in Contracts

Pro Forma Balance Sheet; Financial Statements. The Administrative Agent shall have received (i) the Pro Forma Financial Statements, (ii) audited combined balance sheets and related statements of income, stockholders’ equity and cash flows of the Business for the fiscal years ended December 31, 2012 and December 31, 2013 and (iii) unaudited combined balance sheets and related statements of income, stockholders’ equity and cash flows of the Business for the fiscal quarter ended December 31, 2014.

Pro Forma Balance Sheet; Financial Statements. The Administrative Agent shall have received (i) the Pro Forma Financial Statements, (ii) audited combined balance sheets and related statements of income, stockholders’ equity and cash flows of the Business for the 2011 and 2012 fiscal years ended December 31, 2012 and December 31, 2013 and (iii) unaudited combined balance sheets and related statements of income, stockholders’ equity and cash flows of the Business for the fiscal quarter quarters ended December March 31, 20142013 and June 30, 2013.

Pro Forma Balance Sheet; Financial Statements. The Administrative Agent shall have received (i) the Pro Forma Financial Statements, Balance Sheet and (ii) audited combined consolidated balance sheets for the 2009 and related 2010 fiscal years and the statements of income, stockholders’ equity and cash flows of the Business Borrower and its Subsidiaries for the 2008, 2009 and 2010 fiscal years ended December 31, 2012 and December 31, 2013 and (iii) unaudited combined balance sheets and related statements of income, stockholders’ equity and cash flows of the Business for the fiscal quarter ended December 31, 2014years.

The Administrative Agent shall have received (i) the Pro Forma Financial Statements, (ii) audited combined consolidated balance sheets and related statements of income, stockholders’ equity and cash flows of the Business Holdings for the 2014 and 2015 fiscal years ended December 31, 2012 and December 31, 2013 and (iii) unaudited combined consolidated balance sheets and related statements of income, stockholders’ equity income and cash flows of the Business Holdings for the fiscal quarter quarters ended December March 31, 20142016 and June 30, 2016.

The Administrative Agent shall have received (i) the Pro Forma Financial StatementsBalance Sheet, (ii) audited combined consolidated balance sheets and related statements of income, stockholdersshareholders’ equity and cash flows of the Business Borrower for the 2008, 2009 and 2010 fiscal years ended December 31, 2012 and December 31, 2013 and (iii) unaudited combined balance sheets and related statements of income, stockholders’ equity and cash flows forecasts of the Business financial performance of the Borrower and its Restricted Subsidiaries for the fiscal quarter ended December 31, 2014period through 2015.

The Administrative Agent shall have received (i) the Pro Forma Financial StatementsBalance Sheet, (ii) audited combined balance sheets and related consolidated financial statements of income, stockholders’ equity the Borrower and cash flows of the Business its Subsidiaries for the fiscal years year ended December 31, 2012 and December 312004, 2013 and (iii) unaudited combined balance sheets and related interim consolidated financial statements of income, stockholders’ equity the Borrower and cash flows of the Business its Subsidiaries for the each fiscal quarter month and quarterly period ended subsequent to December 31, 20142004.
