Common use of Priorities Clause in Contracts

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection7.07 hereof;

If the Trustee collects any money pursuant to this Article 6Six, it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys Trustee for amounts due under Section Sections 6.09 and 7.07; Second: if the Holders are forced to proceed against the Company directly without the Trustee, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collectionto Holders for their collection costs;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: First: to , at the Trustee, its agents and attorneys for amounts due under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, date or dates fixed by the Trustee and, in case of the distribution of such money on account of principal or interest, upon presentation of the Notes and the costs notation thereon of the payment if only partially paid and expenses of collection;upon surrender thereof if fully paid:

Priorities. If the Trustee collects any money or property pursuant to this Article 6Six, it shall pay out the money in the following order: First: to the Trustee for amounts due under Section 7.7, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and attorneys its counsel; Second: if the Holders are forced to proceed against the Company directly without the Trustee, to Holders for amounts due under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collectiontheir collection costs;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses expense and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money money, subject to the terms of the Intercreditor Deed, in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses expense and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money or property pursuant to this Article 6, it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.07, including ; SECOND: to holders of Senior Indebtedness to the extent required by Article 10; THIRD: to the holders of the Securities; and FOURTH: to the Company. The Trustee may fix a record date and payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;date for any payment to Securityholders pursuant to this Section 6.10.

Priorities. If the Trustee collects any money or property pursuant to this Article 6, it shall pay out the money or property in the following order: FirstFIRST: to the Trustee, its agents and attorneys the Agents for amounts due under Section 7.02 and Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: First: to the TrusteeTrustee (acting in any capacity hereunder or in connection herewith, including, without limitation, in its capacity as Collateral Agent), its agents and attorneys for amounts due under Section 7.077.06 hereof, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6Six, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.077.07 hereof; SECOND: to Noteholders for amounts due and unpaid on the Notes for principal, including payment of all compensationpremium, expenses and liabilities incurredif any, and all advances madeinterest (including Additional Interest, by if any) as to each, ratably, without preference or priority of any kind, according to the Trustee amounts due and payable on the costs and expenses of collection;Notes; and

Priorities. If the Trustee collects any money or property pursuant to this Article 6, it shall pay out the money or property in the following order: First: to the Trustee, its agents the Collateral Agent, the Paying Agent and attorneys the Registrar for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee or the Collateral Agent, as the case may be, and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, or, after an Event of Default, any money or other property distributable in respect of the Company’s obligations under this Indenture, it shall pay out the money in the following order: First: to the TrusteeTrustee (including any predecessor trustee), its agents and attorneys for amounts due under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If Any money collected by the Trustee collects any money pursuant to this Article 6, it or, after an Event of Default, any money or other property distributable in respect of the Issuers' or Guarantors' obligations under this Indenture, shall pay out the money be paid in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;:

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses and liabilities incurred, incurred and all advances made, by the Trustee and the costs and expenses expense of collection;

If the Trustee collects any money or property pursuant to this Article 6, it shall will pay out the money or property in the following order: FirstFIRST: to the Trustee, its agents and attorneys for amounts due under Section 7.0711.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 66 with respect to the Securities, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.077.7, including payment of all compensationcompensa- tion, expenses and liabilities incurred, and all advances made, made by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money or property pursuant to this Article 6, it shall pay out the money and property in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses expense and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.077.07 hereof; SECOND: to Noteholders for amounts due and unpaid on the Notes for principal, including payment of all compensationpremium, expenses and liabilities incurredif any, and all advances madeinterest as to each, by ratably, without preference or priority of any kind, according to the Trustee amounts due and payable on the Notes upon presentation of the Notes and the costs notation thereon of the payment if only partially paid and expenses of collectionupon surrender thereon if fully paid;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses expense and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection; Second: to the Agents, their agents and attorneys for all amounts due for payment of all compensation, expenses and liabilities incurred, and all advances made, by the Agents and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order, subject to applicable law: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses expense and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money or property pursuant to this Article 66 in relation to either series of Notes, it shall pay out the money or property in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6Six, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.07; SECOND: to Noteholders for amounts due and unpaid on the Notes for principal, including payment of all compensationpremium, expenses and liabilities incurredif any, and all advances madeinterest (including Liquidated Damages, by if any), and Additional Amounts, if any, as to each, ratably, without preference or priority of any kind, according to the Trustee amounts due and payable on the costs and expenses of collection;Notes; and

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.077.07 hereof; SECOND: to Noteholders for amounts due and unpaid on the Notes for principal, including payment of all compensationpremium, expenses and liabilities incurredif any, and all advances madeinterest as to each, by ratably, without preference or priority of any kind, according to the amounts due and payable on the Notes; and The Trustee may fix a record date and the costs and expenses of collection;payment date for any payment to Noteholders pursuant to this Section 6.10.

Priorities. If the Trustee collects any money pursuant to this Article 6Six, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection7.07 hereof;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.077.07 hereof; SECOND: if the Holders are forced to proceed against the Company directly without the Trustee, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;to Holders for their collection costs; and

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall hold such money as mandatary in trust and pay out the such money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.06 hereof, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall will pay out the money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. (a) If the Trustee collects any money or other property pursuant to this Article 6Six, it shall pay out the money and other property in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses expense and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

If the Trustee collects any money or property pursuant to this Article 6, it shall pay out the money or property in the following order: FirstFIRST: to the Trustee, its agents Trustee and attorneys the Agents for amounts due under Section 7.07, including payment of all compensation, expenses 7.02 and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collectionSection 7.07 ;

Priorities. If the Trustee collects any money pursuant to this Article 6Six, it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses expense and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article ARTICLE 6, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys for amounts due under Section 7.07SECTION 7.7, including payment of all compensation, expenses expense and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article ‎Article 6, it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.07‎Section 7.07 hereof, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.076.07 of the Base Indenture, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection7.06;

Priorities. If the Trustee collects any money or property pursuant to this Article 6, it shall pay out the money or property in the following order: FirstFIRST: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses expense and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

If the Trustee collects any money or property pursuant to this Article 6, it shall pay out the money in the following order: First: (1) to the Trustee, Trustee and its agents and attorneys for amounts due under Section 7.07, including payment of all reasonable compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. (a) If the Trustee collects any money or property pursuant to this Article 6Six, it shall pay out the money or property in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.0711.07 of this Indenture, including payment of all compensation, expenses expense and liabilities incurred, and all advances made, by the Trustee and the Trustee’s costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6Six, it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys Trustee for amounts due under Section 6.09 and 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6Six, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.07; SECOND: to Noteholders for amounts due and unpaid on the Notes for principal, including payment of all compensationpremium, expenses and liabilities incurredif any, and all advances madeinterest (including Additional Interest, by if any), ratably, without preference or priority of any kind, according to the Trustee amounts due and payable on the costs and expenses of collection;Notes; and

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: First: to the TrusteeTrustee (which for purposes of this Section 6.10 shall include each of its officers, its agents directors, employees, agents, advisors, attorneys, and attorneys representatives) for amounts due under Section 7.077.07 hereof, and under the Notes Documents, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the Collateral Agent and the costs and expenses of collection;

Priorities. If the Trustee collects any money or property pursuant to this Article ‎Article 6, it shall pay out the money or property in the following order: First: to the Trustee, its the Agents and their agents and appointees and attorneys for amounts due under Section ‎Section 7.07, including (but not limited to) payment of all compensation, fees, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6Six, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.07; SECOND: to Holders for amounts due and unpaid on the Senior Notes for principal, including payment of all compensationpremium, expenses and liabilities incurredif any, and all advances madeinterest (including Additional Interest, by if any) as to each, ratably, without preference or priority of any kind, according to the Trustee amounts due and payable on the costs and expenses of collection;Senior Notes; and

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses expenses, indemnities and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.078.07 hereof; SECOND: to Noteholders for amounts then due and unpaid on the Notes for principal, including payment of all compensationpremium, expenses and liabilities incurredif any, and all advances madeinterest (including Additional Interest, by if any) as to each, ratably, without preference or priority of any kind, according to the Trustee amounts then due and payable on the costs and expenses of collection;Notes; and

Priorities. If the Trustee collects any money or property pursuant to this Article 6, it shall shall, pay out the money or property in the following order: First: to the Trustee, its agents and attorneys for amounts due to it hereunder, including under Section 7.077.07 hereof, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money or property pursuant to this Article 6, it shall will pay out the money or property in the following order: FirstNY\6371365.3 FIRST: to the Trustee, its agents and attorneys for amounts due under Section 7.0711.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If Any money collected by the Trustee collects any money pursuant to this Article 66 and, it after an Event of Default, any money or other property distributable in respect of the Company’s obligations under this Indenture, shall pay be paid out the money in the following order: FirstFIRST: to the Trustee (including any predecessor Trustee, its agents and attorneys ) for amounts due under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, or any other provision in this Indenture, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.077.07 hereof; SECOND: to Noteholders for amounts due and unpaid on the Notes for principal, including payment of all compensationpremium, expenses and liabilities incurredif any, and all advances madeinterest as to each, by ratably, without preference or priority of any kind, according to the Trustee amounts due and payable on the costs and expenses of collection;Notes; and

Priorities. (a) If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

If the Trustee collects any money or property pursuant to this Article 6, it shall pay out the money or property in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection7.07 hereof;

Priorities. If the Trustee collects any money or property pursuant to this Article 66 (including upon realization of any Lien upon the Collateral), it shall pay out the money or property in the following order: FirstFIRST: to the Trustee, its agents the Paying Agent and attorneys the Registrar for amounts due under Section 7.07, 7.07 (including payment of all compensationcompensation and reimbursement of all expenses, expenses and all liabilities incurred, incurred and all advances made, made by the Trustee and the costs and expenses of collection, and indemnification against loss);

Priorities. If Any money or other property collected by the Trustee collects any money pursuant to this Article 6, it or otherwise distributable in respect of the Issuers’ obligations under this Indenture shall pay out the money be paid in the following order: First: to the Trustee, Trustee and its agents and attorneys for amounts due the Trustee under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: order (subject to the Intercreditor Agreement): First: to the Trustee, its agents and attorneys for amounts due under Section 7.077.06 hereof, including payment of all compensation, compensation and reasonable expenses and liabilities incurredincurred (including, without limitation, reasonable and documented fees and expenses of legal counsel), and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money and/or property pursuant to this Article 6, it shall pay out will distribute the money and/or distribute property in the following order: FirstFIRST: to the Trustee, its agents and attorneys for amounts due under Section 7.0711.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money or property pursuant to this Article 6, it shall pay distribute out the money in the following order: First: to the Trustee, its the Paying Agent, the Registrar and their respective agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

Priorities. If the Trustee collects any money pursuant to this Article 6Six, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.07; SECOND: to Holders for amounts due and unpaid on the Notes for principal, including payment of all compensationpremium, expenses and liabilities incurredif any, and all advances madeinterest as to each, by ratably, without preference or priority of any kind, according to the Trustee amounts due and payable on the costs and expenses of collection;Notes; and

Priorities. If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys for amounts due under Section 7.077.07 hereof, including payment of all compensation, expenses expense and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection; SECOND: to holders of Senior Debt and Guarantor Senior Debt to the extent required by Article 10 or 12 hereof;

(a) If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;

If the Trustee collects any money pursuant to this Article 65, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.07, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection6.07;

Priorities. If the Trustee collects any money pursuant to this Article 6Section 5.08, then it shall pay out the money in the following order: First: to the Trustee, its agents and attorneys for amounts due under Section 7.076.07 hereof, including payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee Trustee, and the reasonable costs and expenses of collectioncollection actually incurred;

If the Trustee collects any money pursuant to this Article 6, it shall pay out the money in the following order: FirstFIRST: to the Trustee, its agents and attorneys Trustee for amounts due under Section 7.07, including 7.7; SECOND: to holders of Senior Indebtedness to the extent required by Article 11; THIRD: to the Securityholders; and FOURTH: to the Issuer. The Trustee may fix a record date and payment of all compensation, expenses and liabilities incurred, and all advances made, by the Trustee and the costs and expenses of collection;date for any payment to Securityholders pursuant to this Section 6.11.
