Common use of Principal Place of Business; Other Places of Business Clause in Contracts

Principal Place of Business; Other Places of Business. The principal place of business of the Partnership will be located in the United States at such place or places within or outside the State of Delaware as the General Partner may from time to time designate. The principal place of business of the Partnership is set forth under “Principal Place of Business” on Schedule A, and the General Partner will promptly give written notice of any such change to the principal place of business to the Limited Partners. The Partnership may maintain offices and places of business at such other place or places within or outside the State of Delaware as the General Partner deems advisable; provided that the principal place of business of the Partnership shall not be outside the United States.
