Common use of Pricing Term Sheet Clause in Contracts

Pricing Term Sheet. The Company will prepare a pricing term sheet (the “Pricing Term Sheet”) reflecting the final terms of the Securities, in substantially the form attached hereto as Exhibit D and otherwise in form and substance satisfactory to the Representative, and shall file such Pricing Term Sheet as an “issuer free writing prospectus” pursuant to Rule 433 prior to the close of business on the business day following the date hereof; provided that the Company shall furnish the Representative with copies of any such Pricing Term Sheet and will not use or file any such document to which the Representative or counsel to the Underwriters shall object.

The Company will prepare a pricing term sheet (the “Pricing Term Sheet”) reflecting the ), containing solely a description of final terms of the SecuritiesUnderwritten Securities and the offering thereof, in a form approved by the Representatives and substantially the form identical to that attached as Annex C hereto as Exhibit D and otherwise in form and substance satisfactory to the Representative, and shall file such Pricing Term Sheet as an “issuer free writing prospectus” term sheet with the Commission pursuant to Rule 433 prior to 433(d) within the close of business on the business day following the date hereoftime required by such Rule; provided that the Company shall furnish the Representative Representatives with copies of any such Pricing Term Sheet a reasonable amount of time prior to such proposed filing and will not use or file any such document to which the Representative Representatives or counsel to the Underwriters shall reasonably object.
