Common use of Pricing Term Sheet Clause in Contracts

Pricing Term Sheet. The Company will prepare a pricing term sheet (the “Pricing Term Sheet”) reflecting the final terms of the Securities, in substantially the form attached hereto as Exhibit C and otherwise in form and substance reasonably satisfactory to the Representatives and the Company, and shall file such Pricing Term Sheet as an “issuer free writing prospectus” pursuant to Rule 433 within the time period required by Rule 433.

Pricing Term Sheet. The Company will prepare a pricing term sheet (the “Pricing Term Sheet”) reflecting the containing certain final terms of the SecuritiesNotes, in substantially the form attached hereto as Exhibit C B and otherwise in form and substance reasonably satisfactory to the Representatives and the CompanyRepresentatives, and shall will file such term sheet pursuant to Rule 433(d) under the 1933 Act within the time required by such rule. Any such Pricing Term Sheet as is an “issuer free writing prospectus” pursuant to Rule 433 within the time period required by Rule 433Issuer Free Writing Prospectus for purposes of this Agreement.
