Common use of Pricing Disclosure Package Clause in Contracts

Pricing Disclosure Package. The Pricing Disclosure Package, at the Applicable Time did not, and as of the Closing Date will not, contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading; provided that the Selling Shareholder makes no representation and warranty with respect to any statements or omissions other than with respect to information furnished to the Company in writing by the Selling Shareholder expressly for use in the Pricing Disclosure Package (the “Selling Shareholder Information”).

Pricing Disclosure Package. The Pricing Disclosure Package, at the Applicable Time did not, and as of the Closing Date and as of the Additional Closing Date, as the case may be, will not, contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading; provided that the representations and warranties set forth in this subsection apply only to such Selling Shareholder makes no representation and warranty with respect to any statements or omissions other than with respect to information furnished to the Company Stockholder’s Selling Stockholder Information (as defined in writing by the Selling Shareholder expressly for use in the Pricing Disclosure Package (the “Selling Shareholder Information”Section 9(b) hereof).

The Selling Stockholder Information contained in the Pricing Disclosure Package, at the Applicable Time did not, and as of the Closing Date and as of the Additional Closing Date, as the case may be, will not, contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading; provided that the Selling Shareholder makes no representation and warranty with respect to any statements or omissions other than with respect to information furnished to the Company in writing by the Selling Shareholder expressly for use in the Pricing Disclosure Package (the “Selling Shareholder Information”).

The Pricing Disclosure Package, at Package as of the Applicable Time did not, and as of the Closing Date and as of the Additional Closing Date, as the case may be, will not, contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading; provided that the Selling Shareholder makes no representation such representations and warranty with respect warranties set forth in this paragraph (e) apply only to any statements or omissions other than made in reliance upon and in conformity with respect to information furnished to the Company in writing by the such Selling Shareholder expressly for use in the Pricing Disclosure Package (the “Stockholder’s Selling Shareholder Stockholder Information”).

The Such Selling Stockholder’s Selling Stockholder Information included in the Pricing Disclosure Package, Package at the Applicable Time did not, and as of the Closing Date will not, contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading; provided that the Selling Shareholder makes no representation and warranty with respect to any statements or omissions other than with respect to information furnished to the Company in writing by the Selling Shareholder expressly for use in the Pricing Disclosure Package (the “Selling Shareholder Information”).

The Pricing Disclosure Package, at the Applicable Time did not, and as of at the Closing Date will not, contain any untrue statement of a material fact concerning or relating to the Selling Shareholder or the Shareholder of Record or omit to state a material fact concerning or relating to the Selling Shareholder or the Shareholder of Record necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading; provided that the Selling Shareholder makes no representation and warranty with respect to any statements or omissions other than with respect to information furnished to the Company in writing by the Selling Shareholder expressly for use in the Pricing Disclosure Package (the “Selling Shareholder Information”).

The Pricing Disclosure PackagePackage in respect of information relating to the Selling Stockholder, at the Applicable Time did not, and at the Closing Date and as of the Additional Closing Date Date, as the case may be, will not, not contain any untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading; provided that the Selling Shareholder makes no representation and warranty with respect to any statements or omissions other than with respect to information furnished to the Company in writing by the Selling Shareholder expressly for use in the Pricing Disclosure Package (the “Selling Shareholder Information”).
