Prices and Terms of Sale. Company shall provide Rep with copies of its current price lists, delivery schedules, and standard terms and conditions of sale, as established from time to time. Rep shall quote to customers only those authorized prices, delivery schedules, and terms and conditions, and modify, add to or discontinue Products following written notice to Rep. Each order shall be controlled by the prices, delivery schedules, and terms and conditions in effect at the time the order is accepted, and all quotations by Reps shall contain a statement to that effect.
Prices and Terms of Sale. DISTRIBUTOR shall have the right to establish and revise prices and other terms for the sale of Toyota Products to DEALER. Ownership and title of Toyota Products sold by DISTRIBUTOR to DEALER shall pass upon payment therefor by DEALER to DISTRIBUTOR and DEALER shall have no ownership interest in such Products until such payment is received. Payment for all Toyota Products shall be made when billed, unless other terms are established by DISTRIBUTOR in writing.

(a) For the original five year term herein, Anicom shall be invoiced at the rate of * of NetWolves' established list prices, such amount to be reduced to * of NetWolves' established list prices commencing with the purchase of the first Unit after Anicom has ordered, in the aggregate, 3,000 Units. NetWolves will provide Anicom with thirty (30) days' written notice prior to any increase in NetWolves' established list prices. In the event Anicom produces an account that purchases 1,000 Units before Anicom reaches 3,000 Units of Product, NetWolves agrees to provide Anicom with an additional * discount for that particular order or orders.

LiveWorld shall provide Representative with copies of its current pricing parameters, its descriptions of LiveWorld Materials, its timing and its standard terms and conditions, as established from time to time. For any quote that it provides, Representative shall adhere to the LiveWorld pricing parameters, descriptions, timing and terms and conditions. Notwithstanding the foregoing, LiveWorld reserves the right to require that Representative obtain LiveWorld’s prior approval for any such quote. Each order shall be governed by the LiveWorld prices, descriptions, timing and terms and conditions in effect at the time the order is accepted, and all quotations by Representative shall contain a statement to that effect.

Prices and Terms of Sale a. Initial prices to be charged by GXB for the sale of its portfolio Products to the Company are listed in Schedule II attached hereto. Price increases by GXB are to be restricted to recovery of actual cost of production increases incurred by GXB. Schedule I may be amended by mutual agreement of the parties at any time. The Company shall pay the full amount of the purchase price for Products within 60 days after the date of invoice to the Company.
