Price includes a proactive preventative maintenance program for 122 SATS Microwave sites to include one scheduled and one unscheduled visit to each site per year. Such trips will be tracked in the aggregate for the whole system rather than by site. Labor requirements include loaded labor rates, per diem expenses and helicopter transportation (as required). One person per visit is included for metro and sub-metro visits; two person per visit included for highway and helicopter access sites. Includes fuel costs for remote power generators at $15K per year.

In the event of a cancellation or no-show by a student of a scheduled BTW session, a $50 fee may be charged when less than 24 hours advanced notice is provided. I agree to pay classroom and/or BTW fees no later than one week prior to the first day of classroom or BTW education. Blue and white cards will not be issued until all fees are paid in full. This agreement is valid for one year from the date this contract is signed. If the student is unable to complete the classroom or behind the wheel instruction within the one-year term of this contract, no refund will be issued. We suggest that you register for class as close to the student’s 15th birthday as is possible. I agree to pay a $15 fuel surcharge if the price of fuel in Hutchinson, MN (the location of our office) exceeds $3.25 per gallon before behind the wheel training begins. Students may be required to have additional passengers in the vehicle for a short period, due to scheduling needs. Vehicle used for instruction and/or road test is equipped with automatic transmission, power steering, disc brakes and meets vehicle standards set by the Minnesota Department of Public Safety.   • Manufacturing Costs Patheon shall be allowed to adjust the Fees: (i) for costs associated with the conversion of Granulations and Components into Drug Product (the “Conversion Costs”) in respect of the Drug Product based on the most recently available final Producers’ Price Index for Pharmaceutical Product as published by the U.S. Bureau of Labor Statistics or any governmental successor thereto (“PPI”) using the procedure set forth in Section 4.3 and (ii) for Component Costs to pass on the actual amount of any increase or decrease in such costs without xxxx-up. For each Contract Year in which Patheon is entitled to adjust the Fees Patheon shall provide Client with written notice of any change in the Fees within 30 days of receipt by Patheon of the Annual Forecast. The Parties agree that the Fees shall not be adjusted more than once per Contract Year, however this limitation shall not include price adjustments under section 4.3 or 4.4.
