Common use of Prevention of Corruption Clause in Contracts

Prevention of Corruption. The Supplier shall not offer or give, or agree to give, to any employee, agent, servant or representative of the Authority or any other public body or person employed by or on behalf of the Authority or any other public body, any gift or consideration of any kind which could act as an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any act in relation to this Contract or any other contract with the Authority or any other public body or person employed by or on behalf of the Authority or any other public body (including its award to the Supplier, execution or any rights and obligations contained in it), or for showing or refraining from showing favour or disfavour to any person in relation to any such contract. The attention of the Supplier is drawn to the criminal offences under the Prevention of Corruption Acts 1889 to 1916. The Supplier warrants that it has not paid commission or agreed to pay any commission to the Authority or any other public body or any person employed by or on behalf of the Authority or any other public body in connection with the Contract or any other contract with the Authority or any other public body or person employed by or on behalf of the Authority or any other public body. If the Supplier, its Staff or any person acting on the Supplier's behalf, engages in conduct prohibited by Clauses 5.1 or 5.1.2 above or commits any offence under the Prevention of Corruption Acts 1889 to 1916 the Authority may:- terminate the Contract with immediate effect by giving notice in writing to the Supplier and recover from the Supplier the amount of any loss suffered by the Authority resulting from the termination; or recover in full from the Supplier and the Supplier shall indemnify the Authority in full from and against any other loss sustained by the Authority in consequence of any breach of this clause, whether or not the Contract has been terminated.

The Supplier SERVICE PROVIDER shall not offer or give, or agree to give, to any employee, agent, servant or representative of the Authority CLIENT or any other public body or person employed by or on behalf of the Authority CLIENT or any other public body, any gift or consideration of any kind which could act as an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any act in relation to this Contract or any other contract with the Authority CLIENT or any other public body or person employed by or on behalf of the Authority CLIENT or any other public body (including its award to the SupplierSERVICE PROVIDER, execution or any rights and obligations contained in it), or for showing or refraining from showing favour or disfavour to any person in relation to any such contract. The attention of the Supplier SERVICE PROVIDER is drawn to the criminal offences under the Prevention of Corruption Acts 1889 to 1916. The Supplier SERVICE PROVIDER warrants that it has not paid commission or agreed to pay any commission to the Authority CLIENT or any other public body or any person employed by or on behalf of the Authority CLIENT or any other public body in connection with the Contract or any other contract with the Authority CLIENT or any other public body or person employed by or on behalf of the Authority CLIENT or any other public body. If the SupplierSERVICE PROVIDER, its Staff or any person acting on the Supplier's SERVICE PROVIDER'S behalf, engages in conduct prohibited by Clauses 5.1 25.1 or 5.1.2 25.2 above or commits any offence under the Prevention of Corruption Acts 1889 to 1916 the Authority CLIENT may:- terminate the Contract with immediate effect by giving notice in writing to the Supplier SERVICE PROVIDER and recover from the Supplier SERVICE PROVIDER the amount of any loss suffered by the Authority CLIENT resulting from the termination; or recover in full from the Supplier SERVICE PROVIDER and the Supplier SERVICE PROVIDER shall indemnify the Authority CLIENT in full from and against any other loss sustained by the Authority CLIENT in consequence of any breach of this clauseClause, whether or not the Contract has been terminated.

The attention of the Supplier is drawn to the criminal offences under the Prevention of Corruption Acts 1889 to 1916. The Supplier warrants that it has not paid commission or agreed to pay any commission to the Authority Contracting Body or any other public body or any person employed by or on behalf of the Authority Contracting Body or any other public body or any person employed by or on behalf of the Contracting Body or a public body in connection with the Contract Contract. For the avoidance of doubt, the management charge payable by the Supplier to the Authority pursuant to the terms of the Framework Agreement shall not constitute a commission for the purposes of this clause 255. If the Supplier, its Staff or any person acting on the Supplier’s behalf, engages in conduct prohibited by clauses 25.1 or 25.2 above or any other contract with the Authority Contracting Body or any other public body or person employed by or on behalf of the Authority or any other public body. If Contracting Body, the Supplier, its Staff or any person acting on the Supplier's behalf, engages in conduct prohibited by Clauses 5.1 or 5.1.2 above or commits any offence under the Prevention of Corruption Acts 1889 to 1916 the Authority may:- Contracting Body may: terminate the Contract with immediate effect by giving notice in writing to the Supplier and recover from the Supplier the amount of any loss suffered by the Authority Contracting Body resulting from the termination; or and/or recover in full from the Supplier and the Supplier shall indemnify the Authority in full from and against any other loss sustained by the Authority Contracting Body in consequence of any breach of this clause, whether or not the Contract has been terminatedthose clauses.

The Supplier Provider shall not offer or give, or agree to give, to any employee, agent, servant or representative of the Authority Customer or any other public body or person employed by or on behalf of the Authority Customer or any other public body, any gift or consideration of any kind which could act as an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any act in relation to this Contract or any other contract with the Authority Customer or any other public body or person employed by or on behalf of the Authority Customer or any other public body (including its award to the SupplierProvider, execution or any rights and obligations contained in it), or for showing or refraining from showing favour or disfavour to any person in relation to any such contract. The attention of the Supplier Provider is drawn to the criminal offences under the Prevention of Corruption Acts 1889 to 1916. The Supplier Provider warrants that it has not paid commission or agreed to pay any commission to the Authority Customer or any other public body or any person employed by or on behalf of the Authority Customer or any other public body in connection with the Contract or any other contract with the Authority Customer or any other public body or person employed by or on behalf of the Authority Customer or any other public body. If the SupplierProvider, its Staff or any person acting on the SupplierProvider's behalf, engages in conduct prohibited by Clauses 5.1 9.1 or 5.1.2 9.1.2 above or commits any offence under the Prevention of Corruption Acts 1889 to 1916 the Authority Customer may:- terminate the Contract with immediate effect by giving notice in writing to the Supplier Service Provider and recover from the Supplier Service Provider the amount of any loss suffered by the Authority Customer resulting from the termination; or recover in full from the Supplier Provider and the Supplier Provider shall indemnify the Authority Customer in full from and against any other loss sustained by the Authority Customer in consequence of any breach of this clause, whether or not the Contract has been terminated.

The Supplier Service Provider shall not offer or give, or agree to give, to any employee, agent, servant or representative of the Authority Customer or any other public body or person employed by or on behalf of the Authority or any other public body, Customer any gift or consideration of any kind which could act as an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any act in relation to this the Contract or any other contract with the Authority Customer or any other public body or person employed by or on behalf of the Authority or any other public body Customer (including its award to the SupplierService Provider, execution or any rights and obligations contained in it), or for showing or refraining from showing favour or disfavour to any person in relation to any such contract. The attention of the Supplier Service Provider is drawn to the criminal offences under the Prevention of Corruption Acts 1889 to 1916. The Supplier Service Provider warrants that it has not paid commission or agreed to pay any commission to the Authority Customer or any other public body or any person employed by or on behalf of the Authority Customer or any other public body or any person employed by or on behalf of the Customer or a public body in connection with the Contract Contract. If the Service Provider, its Staff or any person acting on the Service Provider's behalf, engages in conduct prohibited by Clauses 4.1.1 or 4.1.2 above or any other contract with the Authority Customer or any other public body or person employed by or on behalf of the Authority or any other public body. If Customer, the Supplier, its Staff or any person acting on the Supplier's behalf, engages in conduct prohibited by Clauses 5.1 or 5.1.2 above or commits any offence under the Prevention of Corruption Acts 1889 to 1916 the Authority Customer may:- terminate the Contract with immediate effect by giving notice in writing to the Supplier Service Provider and recover from the Supplier Service Provider the amount of any loss suffered by the Authority Customer resulting from the termination; or and/or recover in full from the Supplier and the Supplier shall indemnify the Authority in full from and against Service Provider any other loss sustained by the Authority Customer in consequence of any breach of this clausethose clauses. Discrimination The Service Provider shall not unlawfully discriminate within the meaning and scope of any law, enactment, order or regulation relating to discrimination (whether in race, gender, religion, disability, sexual orientation, age or not otherwise). The Service Provider shall take all reasonable steps to secure the Contract has been terminatedobservance of Clause 4.2.1 by all servants, employees or agents of the Service Provider and all suppliers and sub-contractors employed in the execution of the Contract.

The Supplier warrants that it has not paid commission or agreed to pay any commission to the Authority or any other public body or any person employed by or on behalf of the Authority or any other public body in connection with the Contract or any other contract with the Authority or any other public body or person employed by or on behalf of the Authority or any other public body. If the Supplier, its Staff or any person acting on the Supplier's behalf, engages in conduct prohibited by Clauses 5.1 6.1 or 5.1.2 6.1.2 above or commits any offence under the Prevention of Corruption Acts 1889 to 1916 1916, or the Bribery Act 2010, the Authority may:- terminate the Contract with immediate effect by giving notice in writing to the Supplier and recover from the Supplier the amount of any loss suffered by the Authority resulting from the termination; or recover in full from the Supplier and the Supplier shall indemnify the Authority in full from and against any other loss sustained by the Authority in consequence of any breach of this clause, whether or not the Contract has been terminated.

If the Supplier, its Staff or any person acting on the Supplier's behalf, engages in conduct prohibited by Clauses 5.1 or 5.1.2 above or commits any offence under the Prevention of Corruption Acts 1889 to 1916 1916, or the Bribery Act 2010, the Authority may:- terminate the Contract with immediate effect by giving notice in writing to the Supplier and recover from the Supplier the amount of any loss suffered by the Authority resulting from the termination; or recover in full from the Supplier and the Supplier shall indemnify the Authority in full from and against any other loss sustained by the Authority in consequence of any breach of this clause, whether or not the Contract has been terminated.

Prevention of Corruption. The Supplier shall comply with, and shall ensure that its Staff or anyone acting on the Supplier’s behalf comply with the applicable laws, regulations, codes and sanctions relating to anti-bribery and anti-corruption, including but not limited to the Xxxxxxx Xxx 0000. The Supplier shall not offer or give, or agree to give, to any employee, agent, servant or representative of the Authority Customer or any other public body or any person employed by or on behalf of the Authority Customer or any other public body, body any gift or consideration of any kind which could act as an inducement or reward for doing, refraining from doing, or for having done or refrained from doing, any act in relation to this Contract the obtaining or execution of the Agreement or any other contract with the Authority Customer or any other public body or person employed by or on behalf of the Authority or any other public body (including its award to the Supplier, execution or any rights and obligations contained in it)body, or for showing or refraining from showing favour or disfavour to any person in relation to the Agreement or any such contract. The attention of the Supplier is drawn to the criminal offences under the Prevention of Corruption Acts 1889 to 1916. The Supplier warrants that it has not paid commission or agreed to pay any commission to the Authority Customer or any other public body or any person employed by or on behalf of the Authority Customer or any other public body in connection with the Contract or any other contract with the Authority or any other public body or person employed by or on behalf of the Authority or any other public bodyAgreement. If the Supplier, its Staff or any person anyone acting on the Supplier's ’s behalf, engages in conduct prohibited by Clauses 5.1 clauses 18.1 or 5.1.2 above or commits any offence under 18.3, the Prevention of Corruption Acts 1889 to 1916 the Authority may:- Customer may: terminate the Contract with immediate effect by giving notice in writing to the Supplier Agreement and recover from the Supplier the amount of any loss suffered by the Authority Customer resulting from the termination, including the cost reasonably incurred by the Customer of making other arrangements for the supply of the Services and any additional expenditure incurred by the Customer throughout the remainder of the Agreement; or recover in full from the Supplier and the Supplier shall indemnify the Authority in full from and against any other loss sustained by the Authority Customer in consequence of any breach of those clauses. Prevention of Fraud The Supplier shall take all reasonable steps, in accordance with good industry practice, to prevent fraud by Staff and the Supplier (including its shareholders, members and directors) in connection with the receipt of monies from the Customer. The Supplier shall notify the Customer immediately if it has reason to suspect that any fraud has occurred or is occurring or is likely to occur. If the Supplier or its Staff commits fraud in relation to this or any other contract with the Crown (including the Customer) the Customer may: terminate this Agreement and recover from the Supplier the amount of any loss suffered by the Customer resulting from the termination, including the cost reasonably incurred by the Customer of making other arrangements for the supply of the Services and any additional expenditure incurred by the Customer throughout the remainder of the Agreement; or recover in full from the Supplier any other loss sustained by the Customer in consequence of any breach of this clause. The Contracts (Rights of Third Parties) Xxx 0000 A person who is not a Party to the Agreement shall have no right to enforce any of its provisions which, whether expressly or not by implication, confer a benefit on him, without the Contract has been terminatedprior written agreement of both Parties.

The attention of the Supplier Service Provider is drawn to the criminal offences under the Prevention of Corruption Acts 1889 to 1916. The Supplier Service Provider warrants that it has not paid commission or agreed to pay any commission to the Authority Customer or any other public body or any person employed by or on behalf of the Authority Customer or any other public body in connection with the Contract or any other contract with the Authority Customer or any other public body or person employed by or on behalf of the Authority Customer or any other public body. If the SupplierService Provider, its Staff or any person acting on the SupplierService Provider's behalf, engages in conduct prohibited by Clauses 5.1 14.1.19 or 5.1.2 14.1.21 above or commits any offence under the Prevention of Corruption Acts 1889 to 1916 the Authority Customer may:- terminate the Contract with immediate effect by giving notice in writing to the Supplier Service Provider and recover from the Supplier Service Provider the amount of any loss suffered by the Authority Customer resulting from the termination; or recover in full from the Supplier Service Provider and the Supplier Service Provider shall indemnify the Authority Customer in full from and against any other loss sustained by the Authority Customer in consequence of any breach of this clause, whether or not the Contract has been terminated.

If the Supplier, its Staff or any person acting on the Supplier's behalf, engages in conduct prohibited by Clauses 5.1 6.1 or 5.1.2 6.1.2 above or commits any offence under the Prevention of Corruption Acts 1889 to 1916 1916, or the Xxxxxxx Xxx 0000, the Authority may:- terminate the Contract with immediate effect by giving notice in writing to the Supplier and recover from the Supplier the amount of any loss suffered by the Authority resulting from the termination; or recover in full from the Supplier and the Supplier shall indemnify the Authority in full from and against any other loss sustained by the Authority in consequence of any breach of this clause, whether or not the Contract has been terminated.
