Common use of Press Releases and Public Announcements Clause in Contracts

Press Releases and Public Announcements. Except as may be required by applicable Law or provided herein (including under Section 5.7), no Party shall issue, or permit its Affiliates to issue, any press release or make any public announcement relating to the subject matter of this Agreement or the Transaction without the prior written consent of the other Parties, which consent shall not be unreasonably withheld, conditioned or delayed.

Except as may be required by applicable Law or provided herein (including under Section 5.7)set forth in Sections 12.3 and 12.6, no Party hereto shall make or issue, or permit its Affiliates cause to issuebe made or issued, any press release or make any public announcement relating to the subject matter of or written statement concerning this Agreement or the Transaction transactions contemplated hereby without the prior written consent of the other PartiesParty, which consent shall will not be unreasonably withheld, conditioned withheld or delayed. Following the approval of any such press release or public statement, the facts and matters contained in such press release or public statement shall no longer be deemed Confidential Information.

The restrictions contained in this Section 6.2 do not apply to disclosures that are limited to a general disclosure of the existence of this Agreement and the parties to this Agreement or disclosures required by law or regulation; provided that the disclosing party gives the other parties reasonable advance notice of the proposed disclosure that is legally required, including the text thereof.

Except as may be required by applicable Law law, governmental regulation or provided herein (including under Section 5.7)by the requirements of any securities exchange on which the securities of a Party are listed, no Party shall issue, issue or permit its Affiliates cause to issue, be issued any press release or make or cause to be made any public announcement relating to the subject matter of this Agreement or Agreement, including the Transaction existence of this Agreement, without the prior written consent approval of each of the other Parties, which consent shall not be unreasonably withheld, conditioned and the Parties will cooperate to the extent practicable as to the timing and content of any such press release or delayedpublic announcement.
