Common use of Press Releases and Public Announcements Clause in Contracts

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement, prior to the Closing, without the prior written approval of the Buyer and the Seller Entities; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use commercially reasonable efforts to advise the other Parties prior to making the disclosure).

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement, Agreement prior to the ClosingClosing Date, without the prior written approval of the Buyer and the Seller EntitiesSeller; providedPROVIDED, howeverHOWEVER, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use commercially its reasonable best efforts to advise the other Parties prior to making the disclosure).

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement, Agreement prior to the Closing, Closing without the prior written approval of the Buyer CHP and the Seller EntitiesRepresentative; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its commercially reasonable efforts to advise consult with the other Parties prior to making the disclosure).

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement, Agreement prior to the Closing, Closing without the prior written approval of the Buyer and the Seller Entities; providedSeller, however, that any Party may make any public disclosure it believes in good faith is except to the extent required by applicable law or the rules of any listing or trading agreement concerning its publicly-traded applicable securities (exchange, and except as may be necessary in which case connection with the disclosing Party will use commercially reasonable efforts to advise solicitation of Buyer's shareholder approval at the other Parties prior to making the disclosure)Shareholder's Meeting.

No Party party hereto shall issue any press release or make any public announcement relating to the existence, terms and conditions or subject matter of this Agreement, Agreement prior to the Closing, Closing without the prior written approval of the Buyer and the Seller Entitiesother parties; provided, however, that any Party party may issue any press release or make any public disclosure announcement in such form as it believes deems necessary in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded sole discretion to comply with the United States securities (in which case the disclosing Party will use commercially reasonable efforts laws, but shall provide a copy to advise the other Parties prior to making the disclosure)party in advance of its release.

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement, Agreement prior to the Closing, Closing without the prior written approval of the Buyer and the Seller EntitiesSeller; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law (including state insurance regulators) or any listing or trading agreement concerning its publicly-publicly traded securities (in which case the disclosing Party will use commercially its reasonable best efforts to advise the other Parties prior to making the disclosure).
