Common use of Press Releases and Public Announcements Clause in Contracts

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other Party; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party prior to making the disclosure).

Press Releases and Public Announcements. No Party party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other Partyparty; provided, however, that LandCARE may issue a press release in accordance with its customary practices without such approval and any Party party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party prior to making the disclosure)securities.

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyBuyer and Target; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party Parties prior to making the disclosure).

The Parties agree to prepare and issue mutually acceptable press releases on or promptly after the Closing announcing the transactions contemplated hereby.

No Party shall will issue any press release or make any similar public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyCompany and Parent; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its commercially reasonable best efforts to advise the other Party Parties in writing prior to making the disclosure).

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement prior to the Closing without the prior written approval of the other PartyGreen Plains; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-publicly traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party Parties prior to making the disclosure).

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyBuyer and the Company; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party Parties prior to making the disclosure).

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyParties; provided, however, provided that any Party may make any public disclosure it believes in good faith is required by the terms of any contract to which it is a party, applicable law Law, or any listing or trading agreement concerning its publicly-publicly traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party prior to Parties before making the disclosure).

No Other than required by this Agreement, no Party shall issue any press release or make any public announcement (including SEC filings) prior to the Effective Time and relating to the subject matter of this Agreement without the prior written approval of the other PartyParties; providedPROVIDED, howeverHOWEVER, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its all commercially reasonable best efforts to advise the other Party Parties prior to making the disclosure).

No Party party hereto shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyHoldings and BRS; provided, however, that any Party party hereto may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party party will use its reasonable best efforts to advise the other Party parties hereto prior to making the disclosure).

Press Releases and Public Announcements. No Party shall issue or make, or allow to be issued or made, any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyParties; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law Law, or any listing or trading agreement concerning its publicly-publicly traded securities (in which case the disclosing Party will use its reasonable best efforts Party, to advise the extent possible, shall provide the other Party prior Parties with the opportunity to making review in advance the disclosure).

No Neither Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement prior to the Closing or after Closing without the prior written approval of the other Party; providedPROVIDED, howeverHOWEVER, that any either Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise and consult with the other Party prior to making the disclosure).

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the each other Party; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law Applicable Law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party Parties and afford such Parties a reasonable opportunity under the circumstances to comment prior to making the disclosure).

No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyBuyer and the Seller; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party Parties prior to making the disclosure).

No Party shall will issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyInterpace and Transgenomic; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law Applicable Law or any listing or trading agreement concerning its publicly-traded securities (in which case the disclosing Party will use its all commercially reasonable best efforts to advise the other Party Parties prior to making the disclosure).

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartyParties, which approval shall not be unreasonably withheld, conditioned or delayed; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law or any listing or trading agreement concerning its publicly-publicly traded securities (in which case the disclosing Party will use its reasonable best efforts to advise the other Party Parties prior to making the disclosure)) and any Party may issue a press release upon entering into this Agreement after reasonable consultation with the other Parties.

Press Releases and Public Announcements. No Party shall issue any press release or make any public announcement relating to the subject matter of this Agreement without the prior written approval of the other Party; provided, however, that any Party may make any public disclosure it believes in good faith of this Agreement and the transactions contemplated hereby, if such Party is advised by its legal counsel that such disclosure is required by applicable law or regulation. The Parties agree to work cooperatively on the writing and dissemination of any listing or trading agreement concerning its publicly-traded securities (in which case press releases of public announcements relating to the disclosing Party will use its reasonable best efforts to advise the other Party prior to making the disclosure)subject matter of this Agreement.
