Common use of Press Releases and Communications Clause in Contracts

Press Releases and Communications. No press release or public announcement related to this Agreement or the transactions contemplated herein or any other announcement or communication to the employees, purchasers, or suppliers of the Company or any of its Subsidiaries shall be issued or made by any party hereto without the joint approval of Buyer and the Sellers, unless required by applicable Laws (in the reasonable opinion of counsel) in which case Buyer and the Sellers shall have the right to review and provide suggested comments concerning the disclosure contained in such press release, announcement or communication prior to issuance, distribution or publication.

Press Releases and Communications. No press release or public announcement related to this Agreement or the transactions contemplated herein herein, or prior to the Closing, any other announcement or communication to the employees, purchasers, customers or suppliers of the Company Companies related to this Agreement or any of its Subsidiaries the transactions contemplated herein, shall be issued or made by any party hereto without the joint written approval of the Buyer and the SellersRepresentative, unless required by applicable Laws law (in the reasonable opinion of counsel) in which case the Buyer and the Sellers Representative shall have the right to review and provide suggested comments concerning the disclosure contained in such press release, announcement or communication prior to its issuance, distribution or publication.

No press release or release, public announcement or any other communication to the employees, consultants, customers or suppliers of the Company and its Subsidiaries related to this Agreement or the transactions contemplated herein or any other announcement or communication to the employees, purchasers, or suppliers of the Company or any of its Subsidiaries shall be issued or made by any party hereto or any of its Affiliates without the joint approval of Buyer and the SellersSeller Representative, unless required by applicable Laws Legal Requirements or stock exchange rules (in upon the reasonable opinion advice of counsel) in which case Buyer and the Sellers Seller Representative shall have the right to review and provide suggested comments concerning the disclosure contained in such press release, announcement or communication prior to its issuance, distribution or publication.

Press Releases and Communications. No press release or public announcement related to this Agreement or the transactions contemplated herein herein, or prior to the Closing any other announcement or communication to the employees, purchasers, customers or suppliers of the Company or any of its Subsidiaries Company, shall be issued or made by any party hereto without the joint approval of Buyer the Purchaser and the SellersRepresentative, unless required by applicable Laws law (in the reasonable opinion of counsel) in which case Buyer the Purchaser and the Sellers Representative shall have the right to review and provide suggested comments concerning the disclosure contained in such press release, announcement or communication prior to issuance, distribution or publication.

No press release or public announcement related to this Agreement or the transactions contemplated herein herein, or prior to the Closing, any other announcement or communication to the employees, purchasers, clients or suppliers of the Company or any of its Subsidiaries Company, shall be issued or made by any party hereto without the joint approval of Buyer and the SellersSeller, unless required by law including disclosure requirements for any reporting company under applicable Laws (in the reasonable opinion of counsel) securities laws in which case Buyer and the Sellers Seller shall have the right to review and provide suggested comments concerning the disclosure contained in such press release, announcement announcement, filing disclosing a current report or communication prior to its issuance, distribution or publication.
