Press Releases and Announcements. No Party shall issue any press release or public announcement relating to the subject matter of this Agreement without the prior written approval of the other Parties; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law, regulation or stock market rule (in which case the disclosing Party shall use reasonable efforts to advise the other Parties and provide them with a copy of the proposed disclosure prior to making the disclosure).

No Party shall issue any press release or public announcement relating to the subject matter of this Agreement prior to the Closing without the prior written approval of the other PartiesBuyer and the Company; provided, however, that any Party Buyer may make any public disclosure it believes in good faith is required by applicable law, Law or regulation or stock market rule (in which case the disclosing Party shall use reasonable efforts to will advise and give the other Parties an opportunity to review and provide them with a copy of the proposed disclosure comment prior to making the disclosure).

Press Releases and Announcements. No Party shall issue (and each Party shall cause its Affiliates not to issue) any press release or public announcement disclosure relating to the subject matter of this Agreement without the prior written approval of the other Parties; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law, regulation or stock market rule (in which case the disclosing Party shall use reasonable efforts to advise the other Parties and provide them with a copy of the proposed disclosure other Parties shall have the right to review such press release or announcement prior to making the disclosureits publication).

Press Releases and Announcements. Press Releases and Announcements. No Party shall issue any press release or public announcement relating to the subject matter of this Agreement without the prior written approval of the other Parties; provided, however, that any Party may make any public disclosure it believes in good faith is to be required by applicable law, law or regulation or stock market rule (in which case the disclosing Party shall use reasonable efforts to will if legally permitted, advise the other Parties and provide them with a copy of the proposed disclosure Party not less than three business days prior to making the disclosure).

No Party shall issue any press release or public announcement disclosure relating to the subject matter of this Agreement without the prior written approval of the other Parties, which shall not unreasonably be withheld; provided, however, that any Party the Buyer may make any public disclosure it believes in good faith is required by applicable law, regulation or stock market exchange rule (in which case the disclosing Party Buyer shall use reasonable efforts to advise the other Parties and provide them with a copy of the proposed disclosure prior to making the disclosure).

Press Releases and Announcements. No Party shall issue any press release or public announcement relating to the subject matter of this Agreement without the prior written approval of the other Parties; : provided, however, that any Party Xxxxx may make any public disclosure it believes in good faith is required by applicable law, regulation or stock market rule (in which case the disclosing Party shall use reasonable efforts to advise the other Parties and provide them with a copy of the proposed disclosure prior to making the disclosure).

No Party shall issue any press release or public announcement relating to the subject matter of this Agreement without the prior written approval of the other Parties; provided, however, that any Party Buyer may make any public disclosure it believes in good faith is required by applicable law, regulation or stock market rule (in which case the disclosing Party Buyer shall use reasonable efforts Reasonable Best Efforts to advise the other Parties Shareholder Representative and provide them him with a copy of the proposed disclosure prior to making the disclosure).

No Party party shall issue any press release or announcement or make any other public announcement disclosure relating to the subject matter of this Agreement prior to the Closing Date without the prior written approval of the other PartiesParty, which consent shall not be unreasonably withheld; provided, however, that any Party party may make any public disclosure it believes in good faith is required by applicable lawlaw or regulation, regulation or stock market rule (in which case case, the disclosing Party shall use reasonable efforts to party will advise the other Parties and provide them with a copy of the proposed disclosure party prior to making the disclosure).

No Party shall issue any press release or public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartiesParty; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law, law or regulation or stock market rule (in which case the disclosing Party shall use reasonable efforts to advise the other Parties Party and provide them it with a copy of the proposed disclosure prior to making the disclosure); and provided further that on and after the Closing Date the Buyer may issue any press release or announcement relating to the subject matter of this Agreement without the prior approval of the Seller.

No Party shall issue any press release or public announcement relating to the subject matter of this Agreement without the prior written approval of all of the other Parties; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law, regulation or stock market rule law (in which case the disclosing Party shall use reasonable efforts Reasonable Best Efforts to advise the other Parties and provide them with a copy of the proposed disclosure prior to making the disclosure).

No Party shall issue any press release or make any public announcement disclosure relating to the subject matter of this Agreement without the prior written approval of the other Parties; providedPROVIDED, however, that any Party may make any public disclosure it believes in good faith is required by applicable law, law or regulation or stock market rule (in which case the disclosing Party shall use reasonable efforts to advise the other Parties and provide them with a copy of the proposed disclosure prior to making the disclosure), or by GAAP.

No Party shall issue any press release or public announcement relating to the subject matter of this Agreement without the prior written approval of affording the other PartiesParties a reasonable opportunity to review and suggest comments thereto; providedPROVIDED, howeverHOWEVER, that any Party may make any public disclosure it believes in good faith is required by applicable law, regulation or stock market rule (in which case the disclosing Party shall use reasonable efforts to advise the other Parties and provide them with a copy of the proposed disclosure prior to making the disclosure).

No Party shall issue any press release or public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartiesParty; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law, regulation or stock market rule of Nasdaq or the American Stock Exchange (in which case the disclosing Party shall use reasonable efforts to advise the other Parties Party and provide them it with a copy of the proposed disclosure prior to making the disclosure).

Press Releases and Announcements. No Party shall issue any press release or public announcement relating to the subject matter of this Agreement without the prior written approval of the other Parties; provided, however, that any Party may make any public disclosure it believes in good faith that, upon the advice of legal counsel, is required by applicable lawlaw or regulation, regulation or stock market rule NASDAQ Stock Market rule, to be made (in which case the disclosing Party shall use reasonable efforts to advise the other Parties and provide them it with a copy of the proposed disclosure prior to making the disclosure).

Press Releases and Announcements. No Party shall issue any press release or public announcement relating to the subject matter of this Agreement without the prior written mutual approval of the other Parties; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law, law or regulation or stock market rule (in which case the disclosing Party shall use reasonable efforts to will advise the other Parties and provide them with a copy of the proposed disclosure prior to making the disclosure).

Press Releases and Announcements. No Party shall issue (and each Party shall cause its Affiliates not to issue) any press release or public announcement disclosure relating to the subject matter of this Agreement without the prior written approval of the other PartiesParty; provided, however, that any either Party may make any public disclosure it believes in good faith is required by applicable law, regulation regulation, or stock market rule (in which case the disclosing Party shall use reasonable efforts to advise the other Parties Party and provide them with a copy of the proposed disclosure other Party shall have the right to review such press release or announcement prior to making the disclosureits publication).

No Party shall issue any press release or public announcement disclosure relating to the subject matter of this Agreement without the prior written approval of the other Parties; provided, however, that any Party may make any public disclosure it believes in good faith is required by applicable law, law or regulation or stock market rule (in which case the disclosing Party shall use reasonable efforts to advise the other Parties and provide them with a copy of the proposed disclosure prior to making the disclosure). Notwithstanding the foregoing, PGI shall have the right to make disclosure with respect to ASM and the transaction set forth herein in its registration statement as required by applicable law.

Press Releases and Announcements. No Party party shall issue any press release or public announcement relating to the subject matter of this Agreement without the prior written approval of the other PartiesBuyer and Sellers; provided, however, that any Party party may make any public disclosure it believes in good faith is required by applicable law, law or regulation or stock market rule (in which case the disclosing Party shall use reasonable efforts to party will advise the other Parties and provide them with a copy of the proposed disclosure parties prior to making the disclosure).

Press Releases and Announcements. No Party party shall issue any press release or public announcement relating to the subject matter of this Agreement (prior to the Closing) without the prior written approval of the other Partiesparty; provided, however, that any Party party may make any public disclosure it believes in good faith is required by applicable law, law or regulation or stock market rule (in which case the disclosing Party shall use reasonable efforts to party will advise the other Parties and provide them with a copy of the proposed disclosure party prior to making the disclosure).
