Common use of Press Release Clause in Contracts

Press Release. Neither party shall publish any press release, make any other public announcement or otherwise communicate with any news media concerning this Agreement or the transactions contemplated hereby without the prior written consent of the other party; provided, however, that nothing contained herein shall prevent either party from promptly making all filings with governmental authorities as may, in its judgement be required or advisable in connection with the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby.

Press Release. Neither Prior to the Closing, neither party shall publish any press release, make any other public announcement or otherwise communicate with any news media concerning this Agreement or the transactions contemplated hereby without the prior written consent of the other party; provided, however, that nothing contained herein shall prevent either party from promptly making all filings with governmental authorities as may, in its judgement be required or advisable in connection with the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby.

The parties contemplate that nothing contained herein shall prevent either party from promptly making all filings with governmental authorities as may, in its judgement be required or advisable in connection with upon the execution and delivery of this Agreement or they will mutually agree to the consummation terms of the transactions contemplated herebya joint press release with quotes from high level executives from NetFlex Partner and NetSuite.

Neither party PARTY shall publish issue any press releaserelease or public announcement, make written or oral regarding any other public announcement aspect of this AGREEMENT, including its existence, the subject matter to which it relates, the performance under it or otherwise communicate with any news media concerning this Agreement or of its specific terms and conditions, including any general statements as to the transactions contemplated hereby existence of a relationship between the PARTIES, without the prior written consent of the other party; providedPARTY, however, that nothing contained herein shall prevent either party from promptly making all filings with governmental authorities as mayunless otherwise required by law, in its judgement be which case, the disclosing PARTY shall provide the other PARTY reasonable written notice of such required or advisable in connection with the execution and delivery of this Agreement or the consummation of the transactions contemplated herebydisclosure.
