Prepaid Expenses and Deposits. All right, title and interest in and to all prepaid expenses and deposits relating to the Business, including all security or other deposits held by any third party with respect to the Store / Headquarters and Distribution Center;

Prepaid Expenses and Deposits. All prepaid expenses and other prepaid items and deposits relating to any of the Assets and the operation of Seller's business;
Prepaid Expenses and Deposits. A list of Seller’s prepaid expenses and deposits as of the Closing Date, as set out on Schedule 6.12.2 and certified by Seller’s President, which (i) specifically sets forth and certifies the amount of all the prepaid expenses and deposits which are transferred to Purchaser as part of the Purchased Assets, (ii) certifies that the amount of all prepaid expenses and deposits represent sums prepaid or deposited by Seller in connection with Purchased Assets transferred by Seller to Purchaser, (iii) certifies that Purchaser has acquired all right, title and interest in and to such prepaid expenses and deposits, there exists no default by Seller with respect to any of the Contracts related to such prepaid expenses or deposits, and that no Person holding any such prepaid expenses or deposits has indicated any reason to claim or retain such deposits, or indicated that they are not obligated to provide the materials or services contracted.
Prepaid Expenses and Deposits. Except as otherwise provided in this Agreement or any exhibits attached hereto, all prepaid expenses and other prepaid items and deposits (except customer and client deposits which are liabilities subject to Section 2.1 (e) relating to the Business.
