Predevelopment Expenses. Prior to the Closing, the Members may have incurred certain Predevelopment Expenses, which shall, as and when and to the extent permitted by the Project Loan, be reimbursed to the Members using proceeds from the Project Loan. Any Unreimbursable Predevelopment Expenses shall be treated as Capital Contributions as provided in Section 4.1(a).

Predevelopment Expenses. Subject to Article III below, each of the parties will be responsible for payment of the fees and expenses of their own transaction counsel and consultants in connection with the negotiation and execution of the Definitive Agreements. However, third-party design and other pre-construction expenses, such as project management, cost estimating, project related legal costs, and similar expenses, may be part the “Budget” (defined in Section 2.4.4. below).
Predevelopment Expenses. The Parties agree that all Property purchase deposits and pre-development costs will be shared as follows during the Term: 50% by CFY and 50% by CADA or the CACDC. In addition, the Parties agree that any deposits or pre-development costs made prior to the Effective Date will be similarly shared. Therefore, within ten (10) days of the Effective Date, the Parties agree to reconcile the funds previously expended on such deposits and pre-development costs, and agree to pay any costs due within ten (10) days thereafter. All future costs and expenses shall be reconciled on a quarterly basis.
Predevelopment Expenses ownership of products purchased. Each party shall pay all of its own expenses in the performance of this Agreement.

  • Development Costs With respect to activities prior to the Amendment Effective Date, each Party was to pay [*] of the total Direct Development Costs of a Product incurred in accordance with the Development Budget (as defined in the Original Agreement). Notwithstanding anything in this Article 6 of this Agreement or in any other provision of this Agreement to the contrary, with respect to activities on and after the Amendment Effective Date, subject to Sections 3.1.2, Alimera will be solely responsible for, and shall pay one hundred percent (100%) of, all development costs of a Product, including Direct Development Costs. Notwithstanding anything in this Article 6 of this Agreement or in any other provision of this Agreement to the contrary, (i) all payments owing by CDS hereunder with respect to development activities prior to the Amendment Effective Date are hereby deemed fully paid by CDS (or waived, to the extent such waiver may be required), including any Development Payments, Compounded Development Payments, Determined Disputed Costs and Compounded Disputed Costs (as all defined in the Original Agreement), further including any penalties and interest which might have accrued with respect thereto, and further including all CDS payments deferred pursuant to that February 11, 2008 letter agreement sent by CDS and executed by CDS and Alimera regarding deferral of payments under the Original Agreement as of such date; (ii) all payments owing by Alimera hereunder with respect to development activities prior to the Amendment Effective Date are hereby deemed fully paid by Alimera (or waived, to the extent such waiver may be required), including any Development Payments, Compounded Development Payments, Determined Disputed Costs and Compounded Disputed Costs (as all defined in the Original Agreement), and further including any penalties and interest which might have accrued with respect thereto; and (iii) subject to Sections 3.1.1 and 3.1.2, from and after the Amendment Effective Date, CDS will have no liability whatsoever hereunder for any past, present or future development costs, including Direct Development Costs (which includes those incurred before, on and after the Amendment Effective Date), and instead Alimera shall have sole liability therefor.

  • Project Costs Simultaneously with the execution of this Agreement, the Company shall disclose to the Department all of the Project Costs which the Company seeks to include for purposes of determining the limitation of the amount of the Credit pursuant to Section 5-30 of the Act and provide to the Department a Schedule of Project Costs in the form as attached hereto as Exhibit C.

  • Medical Expenses 1. Employees exposed to hazardous physical, biological, or chemical agents shall be provided, at no cost to the employee, with medical examinations or evaluations required by VOSHA regulations. If there are no specific VOSHA regulations or standards for the agent in question, recommendations of the National Institute of Occupational Safety and Health or other generally recognized expert organization shall be used, as determined by the Commissioner of Health.

  • Operating Costs The Assuming Institution agrees, during its period of use of any Leased Data Management Equipment, to pay to the Receiver or to appropriate third parties at the direction of the Receiver all operating costs with respect thereto and to comply with all relevant terms of any existing Leased Data Management Equipment leases entered into by the Failed Bank, including without limitation the timely payment of all rent, taxes, fees, charges, maintenance, utilities, insurance and assessments.

  • Program Costs 3.1 The Province will pay the University of British Columbia’s Faculty of Medicine for the costs of the Participant’s Postgraduate Medical Education. Annually, the cost to the Province to fund the Participant’s Postgraduate Medical Education is approximately $150,000, including the Participant’s salary and benefits.
